Location of Office and Records. The principal place of business and chief executive office of Seller is located at 0000 Xxxxxxxxxx Xxxxxx Xxxx., Xxxxx 000, Xxx Xxxxxxxxx, XX, 00000. Originals or duplicates of any incidental Records evidencing Contracts and related Receivables that may be kept by the Seller shall be kept at, and only at, said offices, and Seller will not move its principal place of business and chief executive office or permit any Records or any books evidencing the Contracts and related Receivables that it may hold in its possession to be moved unless (i) the Seller shall have given to the Purchaser and the Trustee not less than 30 days’ prior written notice thereof, clearly describing the new location, and (ii) the Seller shall have taken such action, satisfactory to the Purchaser and the Trustee, to maintain the title or ownership of the Purchaser and any security interest of, or any filing in respect of title of, the Purchaser or the Receivables Trust, in the Receivables at all times fully perfected and in full force and effect.

Location of Office and Records. Agent's office and principal place of business in the Commonwealth of Massachusetts is located in the City of Boston and the office where Agent will keep its corporate records concerning the Properties and the Operative Documents is in Boston or such other location as the Agent shall indicate to Owner and Agent Bank in writing. Agent will notify Owner, Beneficiary, Agent Bank and LC Issuer promptly (but in no event later than five Business Days after any such change) of any change in any of the information set forth in this Section 7.17.

Originals or duplicates of any incidental Records evidencing Purchased Receivables that may be kept by the Originator or the Initial Seller shall be kept at, and only at, said offices, and each of the Originator and the Initial Seller will not move its principal place of business and chief executive office or permit any Records or any books evidencing the Purchased Receivables that it may hold in its possession to be moved unless (i) the Originator or the Initial Seller, as applicable, shall have given to the Purchaser, the Notice Persons and the Trustee not less than 45 days' prior written notice thereof, clearly describing the new location, and (ii) the Originator or the Initial Seller, as applicable, shall have taken such action, satisfactory to the Purchaser and the Trustee, to maintain the title or ownership of the Purchaser and any security interest of, or any filing in respect of title of, the Purchaser or the Trustee in the Purchased Receivables at all times fully perfected and in full force and effect. The Originator or the Initial Seller, as applicable, may not, in any event, move the location where it conducts any administration of the Purchased Receivables from 0000 Xxxxxxx Xxxxxx, Xxxxxxxx, Xxxxx 00000, without the prior written consent of the Notice Persons.

The chief place of business and chief executive office of (i) the Seller is located at 901 Xxxx Xxxxxx Xxxx Xxxx, Xxxxxx, Xxxxx 00000 xxx (ii) DFC is located at 901 Xxxx Xxxxxx Xxxx Xxxx, Xxxxxx, Xxxxx 00000; xxd the offices where the Seller and DFC keep all their original books, records and documents evidencing Purchased Receivables or the related Credit Card Agreements are located at such addresses, except that the Credit Card Agreements and substantially all charge slips for each Account are located at the Originator's store. The chief place of business and chief executive office of JFS and the offices where JFS keeps all its original books, records and documents evidencing the Purchased Receivables is located at 901 Xxxx Xxxxxx Xxxx Xxxx, Xxxxxx, Xxxxx 00000. Xhe chief place of business and chief executive office of DFC and the offices where DFC keeps all its original books, records and documents evidencing the Purchased Receivables is located at 901 Xxxx Xxxxxx Xxxx Xxxx, Xxxxxx, Xxxxx 00000. Xhe locations set forth in this subsection (b) for the Seller, DFC and JFS have been the same locations for the four months immediately prior to the date of this Agreement.
