LUCENT. Lucent means Lucent Technologies Inc., a Delaware corporation.

LUCENT. The Shareholder agrees to be responsible for and pay any royalties or similar payments due from Osicom to Lucent Technologies, Inc. and its Affiliates for all periods prior to the Closing Date up to an aggregate of $500,000. Any additional royalties or similar payments due to Lucent in excess of $500,000 shall be paid by the Surviving Corporation.
LUCENT. GRL represents that it has the right to grant the licenses under the patent portfolio of Lucent Technologies Inc., LUCENT-GRL's parent company, as set forth in this Agreement.
LUCENT. GRL shall not provide to LICENSEE: 1) any INTELLECTUAL PROPERTY (including any embodiment) held by a duly appointed trustee in bankruptcy under 11 U.S.C. Section 365(n); or 2) any ownership interests in any INTELLECTUAL PROPERTY.
LUCENT. (i) grants to Telstra a perpetual, non-exclusive, world-wide, non-transferable (except as provided under clause 29) licence of its Intellectual Property Rights in and to the Documentation referred to in clause 10.1(a) for the purpose of using and reproducing that Documentation; and (ii) will obtain from any third party a perpetual, non-exclusive, non-transferable (except as provided under clause 29) licence of the third party's Intellectual Property Rights in and to the Documentation referred to in clause 10.1(a) for the purpose of using and reproducing that Documentation; or
LUCENT acknowledges Telstra may enter into structured financing arrangements with a third party relating to the items of Equipment, this Agreement or any Contract, including without limitation, sale and lease-back type arrangements; and

LUCENT. The term of Purchaser's Agreement with Lucent Technologies dated April 30, 1999 is through April 30, 2002, and the Agreement has not been terminated.
LUCENT and Licensee shall at all times retain the administrative supervision of their respective personnel.
