Management of Borrower. Management of the Borrower shall be maintained as set forth on Schedule 5.01(o) hereto, unless otherwise approved in Lender’s reasonable discretion;
Management of Borrower. Borrower shall cause its business to be continuously managed by professional and qualified management and staff.

The Borrower will cause Universal or a Subsidiary or Affiliate of Universal at all times to manage the Theme Parks, provided that the Borrower may upon the prior written consent of the Required Banks, which consent shall not be unreasonably withheld, replace such legal entity with a new manager.

Management of Borrower. Promptly, and in any event within 10 Business Days, provide written notice to the Lender of any change in the President, Chief Financial Officer, or Plant Manager of Borrower from those set forth on Schedule 5.01(o) hereto;
Management of Borrower. The Chief Executive Officer and Plant Manager of the Borrower shall be maintained as set forth on Schedule 5.01(o) hereto, unless the Borrower shall provide Lender with written notice within ten (10) Business Days after of any such change.

(i) Identify an interim Chief Executive Officer reasonably acceptable to the Lender who shall be the chief operations officer and responsible for daily operations of the Project on or before June 1, 2013 with a starting date no later than June 15, 2013, and who shall remain employed or engaged by the Borrower until a permanent Chief Executive Officer assumes responsibility for the Borrower’s operations;
(ii) Hire a permanent Chief Executive Officer reasonably acceptable to the Lender with a starting date no later than October 31, 2013;
(iii) Except as set forth in Section 5.01(n)(i) and (ii), management of the Borrower shall be maintained as set forth on Schedule 5.01(n) hereto, unless otherwise approved in Lender’s reasonable discretion; and
(iv) Use reasonable commercial efforts to timely address the items set forth in the Loan Restructuring Proposal.
