Plant Manager. The day-to-day operations of the Initial Plant shall be responsibility of the Plant Manager, who, subject to Section 8.1.2, shall be nominated by BioAmber Lux. The Plant Manager shall report directly to the Board.
Plant Manager. The Plant Manager shall be suitably qualified, experienced and competent for the performance of his duties and the provision of the Operation Services at the Plant. To the extent such Plant Manager shall be seconded by the Owner in accordance with the provisions of Clause 5.4.1 below, he will be deemed to be so qualified, experienced and competent.
Plant Manager. Not later than thirty (30) days after the Effective Date, Operator shall appoint an individual as the Plant Manager. Operator’s selection of the initial Plant Manager, and all subsequent Plant Managers, shall be subject to the approval of the Owners, which shall not be unreasonably withheld. The Plant Manager shall (a) be authorized to act for and on behalf of Operator in all matters concerning performance of the Services and (b) direct and manage Operator’s resources in the performance of the Services. Operator shall be bound by the communications, directions, requests and decisions made by the Plant Manager; provided that the Plant Manager shall have no authority to amend or waive any provision of this Agreement. Operator shall also designate at least one alternate to the Plant Manager who shall, at all times, act as the Plant Manager in the unavailability of the Plant Manager. Operator shall deliver to Owners a written Notice of the identity of the Plant Manager and the alternates thereto along with specific instructions as to how each such individual can be reached at all times.
Plant Manager. On or before May 1, 2009, Borrower must either (i) retain a plant manager to operate the Project; or (ii) enter into a consulting agreement with an individual or company to provide ongoing assistance with the operation of the Project.
Plant Manager. The Plant Manager of SB Oils shall be the manager of the Initial Plant, and shall have the responsibilities, duties, powers, authority and obligations ordinarily exercised by a plant manager. The Plant Manager shall report directly to the General Manager. So long as Bunge Netherlands has a Percentage Interest of at least 49.9%, Bunge Netherlands shall have the right to cause the Company to cause SB Oils to appoint the Plant Manager identified by BGI, subject to prior written approval from Solazyme, Inc., such approval not to be unreasonably withheld or conditioned. The Plant Manager shall otherwise be appointed pursuant to the following process: the General Manager shall select a panel of three (3) final candidates and shall present such candidates to the Board, which shall then have the right to select and appoint the final Plant Manager from such panel and shall cause the Company to approve this election at a quotaholders’ meeting of SB Oils.
Plant Manager. UBEM shall, commencing no later than the Commencement Date, retain at its own cost and expense a Plant Manager for the Plant. The Plant Manager shall devote his or her full time services to, and shall be based at, the Plant, with the duties set out in paragraph 3 which are, as a result of the nature of such duties, required to be performed by the Plant Manager. In the event that OWNER provides notice to UBEM of (i) the failure of the Plant Manager to perform the duties of said Plant Manager or (ii) differences between the Plant Manager and the General Manager which adversely affect their working relationship, then, UBEM, after consultation with OWNER, shall take such action as it reasonably deems necessary to address the matter, including, without limitation, termination, removal, reprimand or replacement of such Plant Manager; provided, however, that OWNER retains the right to require that UBEM replace the Plant Manager and UBEM agrees to do so upon written request of OWNER. UBEM shall not otherwise replace the Plant Manager without first consulting with the General Manager; provided, however, such consultation shall not be construed to require OWNER’s consent to such replacement.
Plant Manager. The Plant Manager shall be suitably qualified, experienced and competent for the performance of his duties and the provision of the Operation Services at the Plant. Currently the Plant Manager is also the plant manager of other facilities at the Site, which has proven to be a cost effective organisation scheme. The Owner shall be consulted on the identity of the Plant Manager and may propose candidates for consideration. However, the Operator retains the right to select the Plant Manager. The Plant Manager shall provide reports to the Owner on matters relating to the Plant including, but not limited to, production, scheduling and quality management as prescribed in Appendix 1:Part II. The Plant Manager shall take instructions from and report to the Site Manager on matters relating to, but not limited to, health, safety and environmental issues, consents, employment issues relating to the Staff and all matters relating to the Site.
Plant Manager. Operator shall appoint a “Plant Manager” (and any replacement thereof), who shall be the person that shall be considered the chief supervisory officer for the Operator at the Facility. The Plant Manager (or his delegate) shall have responsibility for operational control and maintenance of the Facility on a day-to-day basis, and the Plant Manager, or his or her designee, shall be available each day during the year. Owner understands and agrees that the Plant Manager may also have plant manager or other responsibilities for Operator on other projects, and that the Plant Manager is not required to be available on a full time basis, or to be present at the Facility on a daily basis.
