MANAGEMENT'S RIGHTS AND FUNCTIONS. 14.01 The management of the Company and the direction of the working force, including the right to plan, direct and control plant operations, to maintain the discipline and efficiency of the employees and to require employees to observe reasonable rules and regulations, to hire, terminate, lay off or assign employees working hours, to transfer, promote, demote, discipline or suspend employees for just cause, are the functions of management, subject to the terms of this Collective Bargaining Agreement. 14.02 In administering this Agreement, the Company shall act reasonably, fairly, in good faith and in a manner consistent with the Agreement as a whole. 14.03 The Company shall be the sole judge as to the merchandise to be handled in its plant. 14.04 The exercise of the foregoing rights shall not alter any of the specific provisions of this Agreement.
