Manager Report. On each Determination Date, a Manager Report, substantially in the form of Exhibit “C” hereto, calculated for the immediately preceding Collection Period, a copy of which shall also be delivered to the Indenture Trustee, the Deal Agent, each Series Enhancer and each Interest Rate Hedge Provider;
Manager Report. This term shall have the meaning set forth in the Management Agreement.
Manager Report. On or prior to each Determination Date, Manager will deliver to Issuer and the Administrative Agent a Manager Report, and such other reports as Issuer may agree to provide pursuant to any Indenture Supplement.
Manager Report. On or before 4:30 p.m. (New York City time) on the fourth Business Day prior to each Payment Date (the “Reporting Date”), the Issuer shall furnish, or cause the Manager to furnish, to the Indenture Trustee, the Servicer, the Back-Up Manager, and Fitch at xxxxxxxxxxxxxxxxxxx@xxxxxxxxxxxx.xxx (so long as it is a Rating Agency for any Series of Notes) a report substantially in the form provided in the Management Agreement specifying, among other matters, the allocations of Retained Collections on the immediately following Payment Date (the “Manager Report”); provided that at any time a Liquidity Reserve Letter of Credit is outstanding, the Issuer shall furnish, or cause the Manager to furnish, a Manager Report to the parties specified in this clause no later than one Business Day prior to the date the applicable Eligible L/C Provider requires notice for the applicable Liquidity Reserve Letter of Credit to be drawn in accordance with Section 4.05(i).
Manager Report. As soon as available and in any event within ten (10) days after the filing thereof, Manager shall submit to Owner Agent and the Administrative Agent copies of all reports filed by Manger or any Affiliate with the Securities and Exchange Commission and any communications or information provided by Manager to its shareholders or by Kinergy Marketing LLC to its working capital lenders (except daily borrowing base reports). Each report shall be certified as complete and correct by an Authorized Officer of Manager.
Manager Report. On the day that is three (3) Business Days prior to each Payment Date, the Manager will furnish to the Owner Representative and the Servicer a report (the “Manager Report”) in substantially the form attached as Exhibit B with respect to the periods specified therein. In addition, the Manager will, from time to time upon request, furnish to each Rating Agency and the Servicer such additional information pertaining to the Tower Sites as such Rating Agency may reasonably request and in the case of the Servicer, as the Servicer reasonably determines is necessary to perform its duties under the Servicing Agreement.
Manager Report. (a) The Manager and, so long as it is a Submanager, Interpool Containers Limited shall, no later than thirty (30) days after the end of each calendar month during the Term, deliver the Manager Report for such month to the Transaction Manager. For the avoidance of doubt, any “Manager Report” required by the P&R Management Agreement shall be combined with the Manager Report, and the Manager shall have no responsibility to separate the data related to Owner Containers covered by this Agreement from the Owner Affiliate Containers covered by the P&R Management Agreement.
(b) Until such time as the Transaction Manager or the Owner provides the Manager and any Submanager written notice that it no longer requires delivery of the List of Containers, the Manager and any Submanager shall, no later than ten (10) Business Days after the end of each calendar month during the Term, deliver the List of Containers for such month to the Transaction Manager. For the avoidance of doubt, any “List of Containers” required by the P&R Management Agreement shall be combined with the List of Containers, and the Manager shall have no responsibility to separate the data related to Owner Containers covered by this Agreement from the Owner Affiliate Containers covered by the P&R Management Agreement.
Manager Report. A Manager Report signed by a responsible officer of the Borrowers and in substantially the form of Exhibit D hereto. Margin Stock. The term shall have the meaning provided in Regulation U. Master Indenture Documents. The Indenture, dated as of August 1, 2005, between TAL Advantage I LLC and U.S. Bank National Association, as indenture trustee, and all other Transaction Documents (as such term is defined in such Indenture).
Manager Report. On each Determination Date, a Manager Report, substantially in the form of Exhibit A hereto, calculated for the immediately preceding Collection Period, a copy of which shall also be delivered to the Indenture Trustee, Deal Agent and the Series Enhancer;
Manager Report. On or prior to each Determination Date, Manager will deliver to Owner, the Administrative Agent and each Interest Rate Hedge Counterparty a written informational statement by Manager in the form attached hereto as Exhibit A (a “Manager Report”).
