Managerial Rights. 13.01 The Union acknowledges that it is the exclusive function of the Company to hire, promote, demote, classify, transfer and suspend employees, and also the right of the Company to discipline, suspend or discharge any employee for just cause, provided that a claim by an employee who has acquired seniority that he has been discharged, disciplined or suspended without just cause may be the subject of a grievance and dealt with as hereinafter provided. 13.02 The Union further recognizes the right of the Company to direct the working force and operate and manage its business in all respects in accordance with its commitments and responsibilities. The location of the plants, the products to be manufactured, the schedules of productions, the methods, processes and means of manufacturing used, the right to decide on the number of employees needed by the Company at any time, the right to use improved methods, machinery and equipment, and jurisdiction over all operations, building, machinery and tools are solely and exclusively the responsibility of the Company. The Company also has the right to make and alter from time to time, reasonable rules and regulations to be observed by the employees. 13.03 It is agreed that none of the rights set forth in this Article will be exercised in a manner inconsistent with the provisions of this Agreement.
