MANNER OF ACTION. The Member may, but shall not be required to, authorize, approve and/or ratify any action by a writing placed with the records of the Company. MANNER OF ACTION. If a supervisor has reason to reprimand an employee, the supervisor shall make reasonable efforts to impose such discipline in a manner that will not embarrass or humiliate the employee before other employees or the public. The generally-accepted procedures of progressive discipline shall be followed by the Agency in disciplining and discharging employees.
MANNER OF ACTION. In the case of quorum, a voting member's vote in accordance with a Series with a majority stake in the Series shall be the act of the Voting Member in accordance with the Series, unless otherwise required by law or by this Agreement. Only voting members associated with the series can vote or agree, and as in that case, voting or consent is calculated when a voting member associated with the series decides whether to approve the matter. Section 7.08 - Proxy: At all meetings of voting members related to the Series, voting members associated with that series may vote in person or by an agent executed by a written or duly authorized attorney by a voting member. These delegates must be submitted to voting members in the series before or at that time. Unless otherwise provided to the proxy, no proxy is valid 11 months after the execution date. Delegates can only be given orally during a conference call and expire at the end of that conference call. Section 7.09 -

No action authorized, approved and/or ratified by the Board of Managers shall be invalid because such authorization, approval and/or ratification is not recorded in a writing.
MANNER OF ACTION. If a quorum is present, action on a matter (other than the election of directors) by a voting group is approved if the votes cast within the voting group “for” the action exceed the votes cast “against” the action, unless a greater or lesser number of affirmative votes is required by the Articles of Incorporation, these Bylaws or by law. Abstentions and, if applicable, broker non-votes (i.e., shares held by a broker, bank or other nominee that does not have authority, either express or discretionary, to vote on a particular matter and are not voted) (“Broker Non-Votes”), are not counted as votes “for” or “against” any action.
MANNER OF ACTION. If more than one person is designated as Plan ---------------- Administrator, the decision of a majority of such individuals appointed and qualified controls. Such committee may authorize any one of its members, or its secretary, to sign on its behalf any notices, directions, applications, certificates, consents, approvals, waivers, letters or other documents. The Plan Administrator must evidence this authority by an instrument signed by all members and filed with the Trustee. A member of the committee who is a Participant shall not vote on any issue relating specifically to himself, and any such action shall be decided or voted by the majority of the remaining committee members (except that such member may sign unanimous written consent to resolutions adopted or other action taken without a meeting).
