MANNER OF ACTION. The Member may, but shall not be required to, authorize, approve and/or ratify any action by a writing placed with the records of the Company. No action authorized, approved and/or ratified by the Member shall be invalid because such authorization, approval and/or ratification is not recorded in a writing.

MANNER OF ACTION. If a supervisor has reason to reprimand an employee, the supervisor shall make reasonable efforts to impose such discipline in a manner that will not embarrass or humiliate the employee before other employees or the public. The generally-accepted procedures of progressive discipline shall be followed by the Agency in disciplining and discharging employees.
MANNER OF ACTION. Any action or decision of the Trustees shall be decided by majority vote of the Trustees then appointed and qualified.
MANNER OF ACTION. Any action or decision of the Plan Administration Committee shall be decided by majority vote of the members of the Plan Administration Committee then appointed and qualified.
MANNER OF ACTION. If more than one person is designated as Plan ---------------- Administrator, the decision of a majority of such individuals appointed and qualified controls. Such committee may authorize any one of its members, or its secretary, to sign on its behalf any notices, directions, applications, certificates, consents, approvals, waivers, letters or other documents. The Plan Administrator must evidence this authority by an instrument signed by all members and filed with the Trustee. A member of the committee who is a Participant shall not vote on any issue relating specifically to himself, and any such action shall be decided or voted by the majority of the remaining committee members (except that such member may sign unanimous written consent to resolutions adopted or other action taken without a meeting).
MANNER OF ACTION. The unanimous agreement of all Managers, if more than one, shall be necessary for all decisions affecting the Company.
