Manner of Carrying Out the Services. 22.1 The Contractor shall provide all the Equipment necessary for the provision of the Services. 22.2 The Contractor shall make no delivery of Equipment nor commence any work on the Commissioner’s Premises without obtaining the Commissioner’s prior Approval. 22.3 All Equipment brought onto the Commissioner’s Premises shall be at the Contractor’s own risk. The Contractor shall provide for the haulage or carriage thereof to the Premises and the removal of Equipment when no longer required at its sole cost. Unless otherwise agreed, Equipment brought onto the Commissioner’s Premises will remain the property of the Contractor. 22.4 The Contractor shall maintain all items of Equipment within the Commissioner’s Premises in a safe, serviceable and clean condition. 22.5 All Equipment shall be at the risk of the Contractor and the Commissioner shall have no liability for any loss of or damage to any Equipment unless the Contractor is able to demonstrate that such loss or damage was caused or contributed to by the negligence or default of the Commissioner. 22.6 The Commissioner shall have the power at any time during the performance of the Services to order in writing that the Contractor: (a) remove from the Commissioner’s Premises any Equipment which in the opinion of the Commissioner is either hazardous, noxious or not in accordance with the Agreement; and (b) if the Commissioner has ordered the Contractor to remove any item of Equipment in accordance with clause 22.6 (a) above, to replace such item with a suitable substitute item of Equipment. 22.7 On completion of the Services the Contractor shall remove the Equipment together with any other materials used by the Contractor to provide the services in order to leave the Commissioner’s Premises in a clean, safe and tidy condition. For the avoidance of doubt the Contractor is solely responsible for making good any damage to the Commissioner’s premises or any objects contained thereon, other than fair wear and tear, which is caused by the Contractor or any of the Contractor’s employees, servants, agents, suppliers or sub-contractors. 22.8 Access to the Commissioner’s Premises shall not be exclusive to the Contractor but shall be limited to such Staff and the Contractor’s suppliers as are necessary to perform of the Services concurrently with the execution of work by others. The Contractor shall co-operate free of charge with such others on the Commissioner’s Premises as the Commissioner may reasonably require.

The Supplier shall be solely responsible for the cost of carriage of Equipment to the Authority Accommodation, including off-loading, removal of all packaging and all other associated costs. 22.3 13.3 All Equipment brought onto the CommissionerAuthority’s Premises shall be at the ContractorSupplier’s own risk. The Contractor Supplier shall provide for the haulage or carriage thereof to the Premises and the removal of Equipment when no longer required at its sole cost. Unless otherwise agreed, Equipment brought onto the CommissionerAuthority’s Premises will remain the property of the ContractorSupplier. 22.4 13.4 The Contractor Supplier shall maintain all items of Equipment within the CommissionerAuthority’s Premises in a safe, serviceable and clean condition. Subject to any express provision of the Business Continuity and Disaster Recovery Plan to the contrary, the loss or destruction for any reason of the Supplier’s Equipment shall not relieve the Supplier of its obligation to supply the Services in accordance with this Agreement, as set out in Schedule 1 (Specification). 22.5 13.5 All Equipment Supplier’s property, including the Equipment, shall be and remain at the sole risk and responsibility of the Contractor Supplier and the Commissioner Authority shall have no liability for any loss of or damage to any Equipment the same unless the Contractor Supplier is able to demonstrate that such loss or damage was caused or contributed to by the negligence Authority’s negligent act or default of the Commissioneromission. 22.6 13.6 The Commissioner Authority shall have the power at any time during the performance of the Services to order in writing that the ContractorSupplier: (a) remove Remove from the CommissionerAuthority’s Premises any Equipment which in the opinion of the Commissioner Authority is either hazardous, noxious or not in accordance with the Agreement; and (b) if If the Commissioner Authority has ordered the Contractor Supplier to remove any item of Equipment in accordance with clause 22.6 13.6 (a) above, to replace such item with a suitable substitute item of Equipment. 22.7 13.7 On completion termination or expiry of the Services the Contractor Supplier shall remove be responsible for the removal and safe disposal of all the Equipment together from the Authority’s Accommodation with any other materials used by the Contractor Supplier to provide the services Services including the cost of packaging and carriage in order to leave the CommissionerAuthority’s Premises in a clean, safe and tidy condition. For the avoidance of doubt the Contractor Supplier is solely responsible for making good any damage to the CommissionerAuthority’s premises Premises (including the Authority Accommodation) or any objects contained thereon, other than fair wear and tear, which is caused by the Contractor Supplier or any of the ContractorSupplier’s employees, servants, agents, suppliers or subSub-contractorsContractors and taking account of any sustainability requirements, including safe removal of data and recycling requirements. 22.8 13.8 Access to the CommissionerAuthority’s Premises shall not be exclusive to the Contractor Supplier but shall be limited to such Staff and the ContractorSupplier’s suppliers as are necessary to perform of the Services concurrently with the execution of work by others. The Contractor Supplier shall co-co- operate free of charge with such others on the CommissionerAuthority’s Premises as the Commissioner Authority may reasonably require. 13.9 The Supplier shall institute and maintain in relation to its performance of the Services a system, to be agreed with the Authority, intended to improve the effect on the environment of the Services and/or their delivery. 13.10 The Supplier shall achieve conformity with the Authority’s stated: 13.10.1 Performance Measures; 13.10.2 Information handling requirements; 13.10.3 Information management and technology requirements including functionality and acceptance in to service; as set out in this Agreement and the Schedules hereto or such other standards as the Authority acting reasonably shall determine as acceptable substitution therefor. 13.11 The Supplier shall maintain, upgrade and refresh the Equipment as appropriate for the continued provision of the Services in accordance with this Agreement, Good Industry Practice and any manufacturer’s recommendations. 13.12 Where any Authority Assets are made available by the Authority to the Supplier: 13.12.1 the Authority grants the Supplier (and any Sub-Contractor) the right to access and use such Authority Assets solely to the extent for providing the Services; 13.12.2 such right of access and use shall terminate automatically on the Expiry Date, or if earlier, the Termination Date (save to the extent only that the Supplier requires such rights of use to continue in order to perform its continuing obligations under this Agreement); 13.12.3 the Supplier shall be responsible for the safe return of the Authority’s Assets to the Authority upon Expiry or termination; 13.12.4 at all times: 13.12.4.1 the Supplier shall ensure that the Authority Assets are used in a skilful and proper manner (and in accordance with any operating instructions issued for such Authority Assets) by properly skilled and trained persons; 13.12.4.2 the Supplier shall, unless otherwise agreed with the Authority, keep the Authority Assets in good repair condition and working order, serviced, cleaned and maintained; 13.12.4.3 whilst such Authority Assets are in the Supplier’s possession, custody or control: 13.12.4.3.1 such Authority Assets shall be at the Supplier’s sole risk and the Supplier shall procure that they are kept safe and secure in accordance with the provisions of this Agreement ; and 13.12.4.3.2 the Supplier shall ensure that the Authority Assets are only located or stored (temporarily or otherwise) in premises owned or controlled by the Authority or in premises owned or controlled exclusively either by the Supplier or by such Sub-Contractor as the Authority may agree for the purposes of this clause, (and details of any such premises shall be notified to the Authority prior to such location or storage of the Authority Assets); 13.12.5 the Authority may have access to:
