Manner of Provision of Services. 1.4.1 Party A and Party B agree that they may enter into other technology service agreements and consulting service agreements directly or through their respective affiliates during the term hereof to provide for the details, manner of provision, personnel and fees of specific technology service and consulting service.
1.4.2 In order to perform this Agreement, Party A and Party B agree that they may enter into an agreement for licensing intellectual property, including, without limitation, software, trademarks, patents and technical know-how, directly or through their respective affiliates during the term hereof to allow Party B’s use of Party A’s relevant intellectual property in accordance with Party B’s business requirements.
1.4.3 In order to perform this Agreement, Party A and Party B agree that they may enter into an equipment or plant lease directly or through their respective affiliates during the term hereof to allow Party B’s use of Party A’s relevant equipment or plant in accordance with Party B’s business requirements.
1.4.4 Party A may subcontract, at its own discretion, part of the Services for Party B hereunder to a third party.
1.4.5 Party B hereby grants Party A an irrevocable and exclusive call option whereby Party A may acquire, at its own discretion, from Party B all or any part of assets and business to the extent permitted by the laws and regulations of the PRC for the lowest possible price permitted by the laws of the PRC. In such case, the Parties may separately enter into an asset or business transfer agreement to provide for the terms and conditions of such asset transfer.
Manner of Provision of Services. Except to the extent otherwise provided in this Agreement, the Consultant is responsible for the manner in which it provides the Services.
Manner of Provision of Services. (a) Equant will provide (and cause its subcontractors to provide) all Services at each Site in a manner designed not to: (i) create any unsafe or hazardous condition at the Site; (ii) materially interfere with or impair the operation of the heating, ventilation, air conditioning, plumbing, electrical, fire protection, safety, security, public utilities or other systems or facilities at the Site;
(iii) materially interfere with the use, occupancy or operation of the Site; or (iv) impose any expense upon Customer, in connection with its use, occupancy or operation of, such Site. Notwithstanding the foregoing, Equant will take all necessary steps to protect the safety of its employees.
(b) To the extent that Equant has been made aware of any of the following situations, Equant will immediately notify Customer of any: (i) destruction or damage to any real or personal property or destruction, compromise or disclosure of software, data or other intangible or intellectual property of Customer, as well as (ii) any injury to any person, resulting from or arising in connection with the performance of Services by Equant, or its subcontractors, or their respective personnel.
Manner of Provision of Services. The Company will not control the manner or means by which Consultant performs the Services, but Consultant is expected to timely perform the Services and to provide the Deliverables in accordance with the terms of this Agreement. Consultant is expected to provide the Services on a remote basis, unless otherwise reasonably requested from time-to-time.
Manner of Provision of Services. The Services will be provided in a good and professional manner, in accordance with all applicable laws, rules and regulations, and in accordance with all industry standards generally applicable to the provision of similar services.
