Consulting Service. Exasol will provide advice and support to Customer as may be described in the Order (“Consulting Services”). Such Consulting Services may, for example, include: o Sizing & Planning Service o Requirements analysis o Consultation regarding cluster sizing, setup and integration of Exasol in your environment o Solution Engineering o Consulting during migration or integration projects o Optimization of EXASolution-based concepts and tools o Individual development, e.g. SQL-based analysis o Database scripts, e.g. ETL processes
Consulting Service. Consultant agrees that during the Term of this Agreement: A. Consultant will devote his best efforts to such position as consultant and an independent contractor to the Company, and he will perform such duties and furnish advice and assistance to the Company from time to time as requested by the Company's President, Chief Financial Officer, Chief Accounting Officer or Chief Operating Officer (collectively, “Senior Management”). The Consultant shall be available to assist the Company as requested by Senior Management, during the Term to offer consultation, advice, assistance or to perform other activities concerning the general business, accounting, financial reporting and records of the Company and the Bank to facilitate the timely completion of the Company’s and the Bank’s audited financial statements for fiscal year ending December 31, 2009, the preparation of the Company’s Annual Report to Shareholders and Annual Report on Form 10-K, and the transition of a new chief financial officer. The Consultant shall be acting in the capacity as an independent contractor, and not as an officer or employee of the Company. The Consultant shall not be subject to the direct control or supervision of the Senior Management of the Company with respect to the time spent, research undertaken, or procedures followed in the performance of consulting services rendered hereunder. B. Consultant shall exercise a reasonable degree of skill, prudence and care in performing the services referred to in Section 2.A. above; C. Nothing contained in this Agreement shall limit or restrict the Consultant from serving as an employee, officer or director of other companies or entities, and the Consultant may provide consulting services for other companies or organizations; provided that such activities do not conflict with the services and activity that the Consultant is rendering to the Company or any of its subsidiaries or the services or activities of the Company and its subsidiaries; Notwithstanding the foregoing, nothing herein shall be deemed to waive or limit the restrictions or limitations on the future behavior or activities of the Consultant as set forth in the Separation Agreement and Release between the Company and the Consultant, dated August 17, 2009 (“Separation Agreement”). Consulting Service. (a) For purposes hereof, “Consulting Service” means the provision of services to the Company or a Subsidiary pursuant to a written consulting agreement. A cessation of Consulting Service shall be deemed to have occurred upon the expiration of such consulting agreement, unless such services are extended pursuant to the terms of such agreement or under a new agreement. Notwithstanding any contrary provision or implication herein, in determining cessation of Consulting Service for purposes hereof, a transfer of services between the Company and/or any Subsidiary shall be disregarded and shall not be considered a cessation of Consulting Service, and changes in status between that of a consultant to an Employee or a Non-Employee Director shall be disregarded and shall not be considered a cessation of Consulting Service.
Consulting Service. ADVANTAGE provides consulting services for vendor evaluations, strategic planning services, and complex project planning and technology build outs. Such services are billed at the DISCOUNTED SERVICE RATE.

Consulting Service. The consulting services to be rendered by Consultant during the term of this Agreement are as follows: (i) advice and assistance in connection with the transition of operations following Corporation's acquisition of the business operations of Go2 Delaware; (ii) advice and assistance with respect to the operations of Corporation's business; and (iii) general business advice regarding the healthcare industry and other matters as agreed upon between Consultant and Corporation. Consultant shall not be required to provide any minimum number of hours of services to Corporation and may perform any such services via telephone, telefax or such other method as may be agreed upon by Consultant and Corporation.
Consulting Service. Executive agrees to reasonably assist with the orderly transition of his duties and assist the Company’s outside professional services firm from November 10, 2018 through December 31, 2018 provided that it does not interfere with other gainful employment. The Consultant shall provide such Consulting Services as may be requested from time to time by the Chief Executive Officer of Buyer; provided, however, that in no event will the Consultant be required to perform Consulting Services for more than one day per week and in no event shall the monthly consulting services exceed twenty percent (20%) of the average monthly level of services provided by the Consultant as an employee of the Bank and its affiliates over the thirty-six (36) months immediately preceding the Effective Time of the Merger. During the Consulting Period, the Consultant shall be available to devote a sufficient portion of her business time, attention, skills and effort (other than during holidays, vacations and periods of illness) to the business and affairs of Buyer and its subsidiaries and affiliates to satisfy her obligations hereunder and shall use her reasonable best efforts to promote the interests of Buyer and its subsidiaries and affiliates. Such Consulting Services may be provided in person, telephonically, electronically or by correspondence as Buyer and the Consultant may agree. The Consultant shall be available for meetings at the principal executive offices of Buyer at such times as shall be reasonable and appropriate. (b) During the Consulting Period, the Consultant shall be entitled to a consulting fee from the Buyer in an amount equal to Eight Thousand Three Hundred Thirty Three Dollars and Thirty-Four Cents ($8,333.34) per month, payable in arrears on the last business day of each month (the "Consulting Payments").
