Master Sublease. At the Closing, Limited Brands will enter into (and will cause Express to enter into) the Master Sublease.
Master Sublease. Lessor hereby leases and subleases to District, and District hereby leases and subleases from Lessor the Projects and the Sites, including any real property improvements now or hereafter affixed thereto in accordance with the provisions herein for the full Term of this Master Sublease. The leasing by the Lessor to the District of the Sites shall not effect or result in a merger of the District’s leasehold estate pursuant to this Master Sublease and its fee estate as lessor under the Master Site Lease, and the Lessor shall continue to have and hold a leasehold estate in said Sites pursuant to the Master Site Lease throughout the Term thereof and the Term of this Master Sublease.
Master Sublease. At the Closing, the parties thereto will enter into a Master Sublease (the "Master Sublease"), the form of which is attached as Exhibit H.
Master Sublease. (i) Throughout the term of the Master Sublease, (A) Seller shall fully perform all of its obligations under the Master Sublease and (B) Seller shall not, by its action or failure to act, become in default under the Master Sublease. Seller shall not, without Buyer’s prior written consent, terminate the Master Sublease prior to the expiration of the term of the Master Sublease.
Master Sublease. Sublandlord is the subtenant under the Master Sublease.
Master Sublease. In the event that any of the Contracts set forth in Schedule 8.4(gggg) shall not have been terminated or novated to Hold Co or one of its Subsidiaries, other than the Company and any Project Companies, prior to the Drop Down Closing, the Company and the Spin-Off Subsidiary shall have entered into the Master Sublease.
Master Sublease. Sublandlord is the subtenant under the Master Sublease. Sublandlord represents and warrants to Subtenant that, (a) Sublandlord has delivered to Subtenant a full and complete copy of the Master Sublease and all other agreements between Master Sublandlord and Sublandlord relating to the leasing, use, and occupancy of the Sublease Premises, (b) the Master Sublease is, as of the date hereof, in full force and effect, (c) Sublandlord has performed all of Sublandlord's obligations under the Master Sublease and (d) to Sublandlord's knowledge no event of default by Master Sublandlord has occurred under the Master Sublease and, to Sublandlord's knowledge, no event has occurred and is continuing which would constitute an event of default but for the requirement of the giving of notice and/or the expiration of the period of time to cure.
Master Sublease. Assignor is the sublessee under a written sublease ("MASTER SUBLEASE"), wherein Xxxxxx Corporation ("MASTER TENANT") leased to Assignor the real property located in the City of Santa Xxxxx, County of Santa Xxxxx, State of California, described as approximately 73,075 square feet of office, research, and development space with an address of 0000 Xxxxx Xxxxxxxxx ("PREMISES").
Master Sublease. Lessee and Lessee's Customer agree that the Master Sublease is and shall remain in all respects prior and superior to the License and is not being modified by the License. Lessor is not joining in nor bound by any agreement, representation or warranty contained in the License. Any matter that requires Lessor's approval under the Master Sublease shall continue to require such approval. Lessee's Customer shall obtain directly from Lessee any copies Lessee's customer requires of the applicable terms of the Master Sublease, and Lessor shall have no obligation in that regard. Upon any termination of the Master Sublease, whether due to agreement, default or expiration of the term, Lessee's Customer shall immediately surrender possession of the Subleased Premises, including the Equipment Space, to Lessor.
Master Sublease. Buyer and Seller shall have entered into the Master Sublease substantially in the form of Exhibit E hereto.
