Sublease Subordinate. This Sublease is subordinate and subject to all of the terms and conditions of the Master Lease. If the Master Lease terminates for any reason whatsoever, this Sublease shall terminate concurrently, and the parties hereto shall be relieved of any liability thereafter accruing under this Sublease, except for the liabilities of the parties which by the terms of this Sublease survive the expiration or earlier termination of this Sublease.
Sublease Subordinate. This Sublease and all the rights of parties hereunder are subject and subordinate to the Master Lease. In the event the Master Lease is terminated for any reason other than a Recognition Event, then, on the date of such termination, subject to Master Landlord's written agreement to the contrary, this Sublease automatically shall terminate and be of no further force or effect, and the parties hereto shall be relieved of any liability thereafter accruing, except for liabilities of that parties that by the terms of this Sublease shall survive expiration or earlier termination. Notwithstanding the foregoing, in the event of the rejection by Master Landlord of the Master Lease which is approved, consented to or authorized by a bankruptcy court in a bankruptcy proceeding, then so long as Sublandlord has not elected (under Section 365(h)(1)(A) of the Bankruptcy Code or successor statute) to treat such rejection as a termination of the Master Lease and remains in possession of the Premises, Sublandlord agrees to recognize the estate of Subtenant under this Sublease and this Sublease shall continue, except to the extent restricted by court order or other legal restraint. Each party agrees that it will not, by its act or omission to act, cause a default under the Master Lease which would lead to the termination of the Master Lease by Master Landlord. In furtherance of the foregoing, the parties hereby confirm, each to the other, that as time is of the essence it is not practical in this Sublease agreement to enumerate all of the rights and obligations of the various parties under the Master Lease and specifically to allocate those rights and obligations in this Sublease agreement. Accordingly, in order to afford to Subtenant the benefits of this Sublease and of those provisions of the Master Lease which by their nature are intended to benefit the party in possession of the Premises, and in order to protect Sublandlord against a default by Subtenant which might cause a default or event of default by Sublandlord under the Master Lease:
(a) Except for obligations delegated to Subtenant pursuant to Paragraph 7.5 and Paragraph 8.2, Sublandlord shall perform its covenants and obligatioxx xxxxx xxx Xxxxxx Xxxxx which do not require for their performance possession of the Premises and which are not otherwise to be performed hereunder by Subtenant on behalf of Sublandlord. Sublease Subordinate. This Agreement for sublease is at all times subject and subordinate to the Lease Agreement dated December 5, 2012 (“Master Lease”), between Landlord (as lessee) and DLC Indiana Street (“Master Landlord”) as Lessor. The provisions of the Master Lease set forth on Exhibit E are incorporated hereby by this reference and apply to Tenant to the same extent as they apply to Landlord.
Sublease Subordinate. This Sublease and the rights of the parties under this Sublease are subject and subordinate to the Prime Lease.
Sublease Subordinate. This Sublease Agreement shall be subject and --------------------- subordinate to any mortgage now or hereafter placed on the Main Premises, or any portion or portions thereof or interest therein. This paragraph 11 shall be self-operative and no further instrument of subordination shall be required.

Nothing in this Consent shall be construed to amend or waive any of the provisions, covenants or conditions in the Master Lease, except as expressly stated herein.

Except as expressly provided in subparagraphs 3(a), (d), (e), (f), (g), (h), (i), (j), (l) and (m) and Paragraphs 7, 8, 9, 10, 11, 12 and 13 below, nothing in this Sublease Consent shall be construed to modify, waive or affect any of the provisions, covenants or conditions in the Master Lease, Ariba's obligations under the Master Lease, or any rights or remedies of Moffett under the Master Lease, or to enlarge or increase Moffett's xxxxxxxions or Ariba's obligations under the Master Lease. Xxxxxxxxen shall have no right, and there shall not be vested in Interwoven any right, to exercise rights of first refusal, options, or other similar preferential rights, if any, given to Ariba as the Lessee under the Master Lease.
Sublease Subordinate. Except as set forth herein, the subletting under this Sublease shall be on the same terms and conditions as are contained in the Base Lease but Sublessee does not assume any of American's obligations to Landlord thereunder. Further, Sublessee acknowledges and agrees that this Sublease shall be in all respects subject and subordinate to the Base Lease and to all amendments to the Base Lease heretofore and hereafter entered into in accordance with this Sublease. Nothing contained in this Sublease shall be deemed to confer upon Sublessee any rights which are in conflict with the Base Lease, as the same may be altered or amended from time to time. Sublessee shall not do or permit to be done any act or thing which would contravene the terms or conditions of the Base Lease, and the Base Lease shall govern in the event of a conflict with this Sublease. In the event that the Base Lease is canceled or terminated for any reason, the Term of this Sublease shall automatically terminate simultaneously therewith. Sublessee hereby acknowledges that the Base Lease is subordinate to certain airport revenue bonds, as described in the Base Lease.
Sublease Subordinate. (a) This Sublease is expressly subject and subordinate to the Prime Lease. Except as expressly set forth herein, all terms, covenants, provisions and conditions of the Prime Lease are incorporated herein by this reference with the same force and effect as if fully set forth herein and the same shall be binding upon both parties hereto. This Paragraph shall be self-operative and no further instrument of subordination shall be required.
(b) The following provisions of the Prime Lease, to the extent the Prime Lease contains the same, are not incorporated by the reference in Paragraph l(a) above: Section
17.01 regarding assignment and subletting; initial build-out obligations of the Prime Landlord or pre-approved alterations of the prime tenant; contingencies relating to the commencement of the Prime Lease; provisions relating to delivery of possession by
4.01 regarding basic rent; procedures in Section
22.01 for giving notice and in other Sections of the Lease, to the extent they are in conflict with the provisions of this Sublease; representations of the Prime Landlord; indemnification by the prime tenant; Article 23 regarding subordination, provisions regarding holding over; waiver of landlord's lien; Section
32.01 regarding real estate brokerage commission; all rights of first offer; all options to renew or extend the term; all rights to expand the Demised Premises; the right to terminate set forth in Article 38; Article 34 regarding confidentiality; Article 39 regarding the commencement date; and Article 40 (guaranty).
(c) As a condition to entering into this Sublease, Landlord shall provide Tenant with a non-disturbance/consent agreement from Prime Landlord.
