Maximum Compensation and Budget Requirement. Citizens’ obligation to pay Vendor for all Services and reimbursable expenses under this Agreement (a) shall not exceed a total dollar amount of one-hundred and ten million, seven-hundred and twenty thousand, four-hundred and seventy-nine U.S. dollars and sixty cents ($110,720,479.60); and, (b) is contingent on the availability of budgeted funds approved by Citizens’ Board of Governors on an annual basis. Citizens’ does not guarantee that Vendor will receive any Work Assignments or any minimum volume of work. Vendor acknowledges and agrees that the Services provided during a State of Florida or federal government declared emergency or catastrophe will be paid at the rates set forth in this Agreement.
