Measurement and Monitoring Tools; Reporting. As part of the Services throughout the Term, and at no additional cost to Advantica, Supplier shall implement any measurement and monitoring tools and procedures necessary to measure its performance of the Services and compare such performance to that required by the Service Level Agreements. Upon Advantica's request, Supplier shall provide Advantica or its auditors with any information and access to the measurement and monitoring tools necessary to verify compliance by Supplier with the Service Level Agreements. Supplier shall provide such documentation to Advantica as shall be necessary to allow verification of Supplier's compliance with the Service Levels. Service Level reports will be provided to Advantica at the same time that Supplier delivers its invoice for Charges to Advantica.
Measurement and Monitoring Tools; Reporting. As part of the Services and at no additional cost to Xxxxxxx, Provider shall implement any measurement and monitoring tools and procedures necessary to measure its performance of the Services against the Service Levels, including those measurement and monitoring tools specified in any SOW. Such measurement and monitoring shall permit reporting at a level of detail sufficient to verify compliance with the Service Levels. Subject to the provisions of ARTICLE 12 of this Agreement, Provider shall provide Xxxxxxx or its auditors with all information, documentation and access to the measurement and monitoring tools necessary to verify compliance by Provider with the Service Levels. At least monthly, Service Reports will be provided to Xxxxxxx in compliance with the provisions of the Service Level Methodology Schedule to the applicable SOW.

  • Measurement and Monitoring Tools As of the Effective date, Vendor and Prudential will mutually agree on the measurements and service level management procedures, pursuant to the governance procedures set forth in Attachment G and performance standards set forth in Attachment E-1 and E-2, to measure Vendor's performance of the Services against the applicable Service Levels. Such measurement and monitoring tools and procedures will (a) for Attachment E-1, be implemented upon the Effective Date; (b) for Attachment E-2, be implemented after successful completion of all testing and written acceptance by Prudential of the Transition Services set forth in Attachment B-1; (c) permit reporting at a level of detail sufficient to verify compliance with the Service Levels; and (d) be subject to audit by Prudential or its designee in accordance with the Agreement, except such audit will not include the installation of any audit software on Vendor's network.

  • ANALYSIS AND MONITORING The Custodian shall (a) provide the Fund (or its duly-authorized investment manager or investment adviser) with an analysis of the custody risks associated with maintaining assets with the Eligible Securities Depositories set forth on Schedule B hereto in accordance with section (a)(1)(i)(A) of Rule 17f-7, and (b) monitor such risks on a continuing basis, and promptly notify the Fund (or its duly-authorized investment manager or investment adviser) of any material change in such risks, in accordance with section (a)(1)(i)(B) of Rule 17f-7.

  • Performance Reporting For Performance Reporting (including After-Tax Performance Reporting), Ultimus charges each Portfolio a fee of $200 per month.

  • Additional Reporting 37. Within seven days after the date of this Agreement, the Recipient shall register in XXX.xxx, and thereafter maintain the currency of the information in XXX.xxx until at least October 1, 2022. The Recipient shall review and update such information at least annually after the initial registration, and more frequently if required by changes in the Recipient’s information. The Recipient agrees that this Agreement and information related thereto, including the Maximum Awardable Amount and any executive total compensation reported pursuant to paragraph 38, may be made available to the public through a U.S. Government website, including XXX.xxx.

  • Monitoring System In each case in which the Custodian has exercised delegated authority to place Assets with a Foreign Custodian, the Custodian shall establish a system, to re-assess or re-evaluate selected Foreign Custodians, at least annually in accordance with Rule 17f-5(c)(3).
