Meetings by Telecommunications. Unless the Act otherwise provides, members of the Board of Managers shall have the right to participate in all meetings of the Board of Managers by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting.
Meetings by Telecommunications. The Board or any committee of the Board may hold meetings by means of conference telephone or similar telecommunications equipment that enable all persons participating in the meeting to hear each other. Such participation shall constitute presence in person at such meeting.
Meetings by Telecommunications. Managers and their proxies shall have the right to participate in all meetings of the Board of Managers by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting. Members and their representatives and proxies shall have the right to participate in all meetings of the Members by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting.
Meetings by Telecommunications. Members of the Steering Committee shall have the right to participate in all meetings of the Steering Committee in person, by means of a conference telephone, or by videoconference or similar telecommunications service by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting. Any reference in this Exhibit to attendance or participation by a Member at a meeting of the Steering Committee shall be deemed to refer to attendance in person or attendance by means of a telecommunications service pursuant to this paragraph.
Meetings by Telecommunications. Unless the Act otherwise provides, the Members may participate in a meeting of the Members by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence at a meeting.
Meetings by Telecommunications. A meeting of the Board or of a Board Committee may be held by telephone or other communications medium if all Directors or Board Committee members attending the meeting are able to participate in it, whether by telephone, by other communications medium or in person, provided that, in the case of an in person meeting or Partially Electronic Meeting of the Board, a majority of the Directors participating in the meeting are in British Columbia at the time of the meeting. A Director or Board Committee member who participates in the meeting in accordance with this Rule will be deemed to be present at the meeting and counted in the quorum for such meeting.
Meetings by Telecommunications. Any or all of the shareholders may participate in an annual or special shareholders’ meeting by, or the meeting may be conducted through the use of, any means of communication by which all persons participating in the meeting may hear each other during the meeting. The Board shall establish the terms and conditions under which such participation shall be permitted and shall cause the notice of the meeting to state such terms and conditions, each of which shall apply to every shareholder without discrimination. A shareholder participating in a meeting by this means is deemed to be present in person at the meeting.
Meetings by Telecommunications. Unless a Committee determines otherwise, Members of a Committee shall have the right to participate in all meetings of the Committee by means of a conference telephone or similar telecommunications service by means of which all persons participating in the meeting can hear each other at the same time and participation by such means shall constitute presence in person at a meeting. Any reference in this Schedule 2 to attendance or participation by a Member at a meeting of the JDP Committee shall be deemed to refer to attendance in person or attendance by means of a telecommunications service pursuant to this Section III.G of this Schedule 2.

Limited Liability of Members. Neither any Member, nor any owner, officer, director, employee or agent of any Member, shall be liable for any debts, liabilities or obligations of the Company whether arising in contract, in tort or otherwise; provided that each Member shall be responsible:
