Meetings of the Steering Committee. The Steering Committee shall conduct monthly telephone conferences during the Research Program, and quarterly telephone conferences during the MRI Development Program and RadioPharma Development Program, and shall prepare and deliver a brief written report describing the significant issues and discussions that take place during such conferences. A representative of the Steering Committee jointly appointed by its members shall provide each member with five (5) business days notice of the time of any such meetings and the proposed agenda with respect thereto, unless waived by all members. The Steering Committee shall meet at least once each quarter alternately at the parties' locations, or at such other times and locations as the Steering Committee determines. A representative of the Steering Committee jointly appointed by its members shall provide each member with five (5) business days notice of the time and location of meetings, unless such notice is waived by all members. If a designated representative of a party cannot attend any meeting of the Steering Committee, such party may designate a different representative for that meeting without notice to the other party, and the substitute member will have full power to vote on behalf of the permanent member. Except as otherwise provided in this Section 2, all actions and decisions of the Steering Committee will require the unanimous consent of all of its members. If the Steering Committee fails to reach agreement upon any matter, the dispute will be resolved in accordance with the procedures set forth in Section 8.3 below. Within ten (10) days following each quarterly meeting of the Steering Committee, the Steering Committee shall prepare and deliver, to both parties, a written report describing the decisions made, conclusions and actions agreed upon.
Meetings of the Steering Committee. The Steering Committee:
(a) shall hold meetings at such times and places as shall be determined by a majority of the entire membership of the Steering Committee, but in no event shall such meetings be held less frequently than once every six (6) months;
(b) may conduct meetings in person or by telephone conference, PROVIDED that, any decision made during a telephone conference meeting is evidenced in a conformed writing signed by one of the members of the Steering Committee from each of the Parties;
(c) shall keep minutes reflecting actions taken at meetings;
(d) may act without a meeting if prior to such action a written consent thereto is signed by all members of the Steering Committee; and
(e) may expand upon the foregoing procedures for its internal operation by unanimous written consent.
Meetings of the Steering Committee. The first meeting of the Steering Committee shall occur within ninety (90) days of the Effective Date. Thereafter, regular meetings of the Steering Committee shall be held semi-annually within forty-five (45) days of the end of each calendar half year, or at such other times as the parties may deem appropriate, at such times and places as the members of the Steering Committee shall from time to time agree. Special meetings of the Steering Committee may be called by either party on fifteen (15) days written notice to the other party unless notice is waived by the parties. All meetings shall alternate between the offices of the parties unless the parties otherwise agree. In the event a Steering Committee member is unable to attend a meeting of the Steering Committee, such Steering Committee member may designate an alternate member who will serve solely for that Steering Committee meeting.
Meetings of the Steering Committee. (a) The Steering Committee shall meet as often as necessary upon written notice by or on behalf of any member of the Steering Committee and in any case shall meet at least four times per year. Any notice of any meeting of the Steering Committee shall be sent to each SC Member, and such notice may be sent by any means (including by email), and such notice shall include an agenda identifying in reasonable detail the matters to be discussed at such meeting together with copies of any relevant documents to be discussed at such meeting. Except in the case of emergency for which a shorter notice period is necessary (in which case reasonable advance notice shall be given to the SC Members sufficient for them to have an opportunity to attend such meeting), the notice of meetings of the Steering Committee shall be sent at least five (5) Business Days before such meeting.
(b) SC Members participating in meetings of the Steering Committee by telephone conference or video conference shall be considered present for the purposes of calculating the quorum for a meeting and the votes on a decision. SC Members may further be represented with proxy by any other individual of their choice.
(c) The venue of the meetings of the Steering Committee shall be on a rotating basis at the headquarters of GMH in Detroit or the headquarters of PSA in Paris.
(d) Information provided to the Steering Committee shall be limited to that necessary for the Steering Committee to achieve its objectives as set forth above.
Meetings of the Steering Committee. The Steering Committee will meet at ---------------------------------- least quarterly, either in person or by telephone conference. At least two meetings each year will be held in person, alternating between ASTRA and CENTAUR locations. Extraordinary meetings shall be held when necessary.
Meetings of the Steering Committee. Regular meetings of the Steering Committee shall be held within [*****] of the end of each calendar year, or at such other times as the parties may deem appropriate, at such times and places as the members of the Steering Committee shall from time to time agree. Meetings of the Steering Committee. The Steering Committee shall hold regular meetings at such times and places alternating between Licensor’s and Company’s facilities. The meetings of the Steering Committee shall be held no less frequently than on a calendar quarter basis, unless otherwise mutually agreed upon by the chairperson, and in no event not less than twice every calendar year. In addition, either Party may request that an ad hoc meeting of the Steering Committee be held at any time upon giving reasonable advanced notice to the other Party. Steering Committee meetings may be held in person or by telephone or video conference. The Licensor and Company representatives on the Steering Committee shall alternate in keeping written minutes that shall reflect the decisions taken at the meetings. Such minutes shall be circulated to the Steering Committee for review and approval within two (2) weeks after each meeting.

(a) shall hold meetings at such times and places as shall be determined by majority approval of the Steering Committee members, but in no event shall such meetings be held less frequently than once every month;
(b) may conduct meetings in person or by telephone conference, provided that any decision made during a telephone conference meeting is evidenced in a confirmed writing signed by one of the members of such Steering Committee from each of the Parties;
(c) shall keep minutes reflecting actions taken at meetings;
(d) may act without a meeting if prior unanimous written consent thereto is signed by all members of the Committee; and
(e) may amend or expand upon the foregoing procedures for its internal operation by unanimous written consent.
Meetings of the Steering Committee. A. The Steering Committee shall meet at least once in each calendar year and at such other times as called by the Chair or the Program Manager or as otherwise provided in the by-laws.
B. Each meeting of the Steering Committee must be open to the public, and any person attending a Steering Committee meeting may file a written statement, or provide reasonable and timely oral input regarding topics on the meeting agenda. The Steering Committee shall develop appropriate procedures to provide public notice of Steering Committee or subcommittee meetings. Nothing in this Agreement modifies the ability of the Parties to this Agreement to conduct confidential discussions subject to applicable provisions of state and Federal law.
C. The Program Manager shall cause minutes of each meeting of the Steering Committee to be prepared and clearly record each decision of the Steering Committee.
Meetings of the Steering Committee. Meetings of the S C shall be held at least once every [ * ] during the Joint Research Program and the Joint Development Program, at times and places as agreed upon at the prior meeting of the S C, and may be conducted in person or by means of conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other. Either Party may also convene a special meeting of the S C at any time for the purpose of deciding any matter within the authority of the Steering Committee, by providing [ * ] written notice to the other Party. The chairperson shall be responsible for sending notices of the meetings to all members. Two weeks prior to each SC meeting, a summary of progress of the development work of either party shall be provided by either party to the members of the SC.
