Common use of Membership Agreement Clause in Contracts

Membership Agreement. The Investor has read, understands, and shall fully comply with its obligations under the NextSeed Membership Agreement. The Investor shall not approach, contact or harass the Company in any way following the Closing Date to offer, discuss, or request any variation in the payment structure or payment process, or for any other reason related to the Offering. The Investor understands and agrees that its sole course of dispute resolution in connection with this Agreement is set forth in the NextSeed Membership Agreement and any violation of its obligations may result in immediate suspension or termination of this Agreement and forfeiture of any or all rights under this Agreement.
