Memoranda of Lease. Concurrently with the execution of this Lease, Lessor and Lessee are executing Lessor’s standard form memorandum of lease in recordable form, indicating the names and addresses of Lessor and Lessee, a description of the Properties, the Lease Term, but omitting Rentals and such other terms of this Lease as Lessor may not desire to disclose to the public. Further, upon Lessor’s request, Lessee agrees to execute and acknowledge a termination of lease and/or quitclaim deed in recordable form to be held by Lessor until the expiration or sooner termination of the Lease Term; provided, however, if Lessee shall fail or refuse to sign such a document in accordance with the provisions of this Section within ten (10) days following a request by Lessor, Lessee irrevocably constitutes and appoints Lessor as its attorney-in-fact to execute and record such document, it being stipulated that such power of attorney is coupled with an interest and is irrevocable and binding.
Memoranda of Lease. Seller will use commercially reasonable efforts to provide Buyer with recorded documentation of each headend site lease or easement, by recording the lease or easement or by obtaining from the appropriate lessor and recording a Memorandum of Lease in substantially the form set forth on EXHIBIT E.
Memoranda of Lease. If requested by Landlord or Tenant, Landlord and Tenant shall execute Landlord’s standard form memorandum of lease in recordable form, indicating the names and addresses of Landlord and Tenant, a description of the Property, the Initial Term, but omitting Rentals and such other terms of this Lease as Landlord may not desire to disclose to the public.
Memoranda of Lease. Concurrently with the execution of this Lease, Lessor and Lessee are executing Lessor’s standard form memorandum of lease in recordable form, indicating the names and addresses of Lessor and Lessee, a description of the Properties, the Lease Term, but omitting Rentals and such other terms of this Lease as Lessor may not desire to disclose to the public. Further, upon Lessor’s request, Lessee agrees to execute and acknowledge a termination of lease and/or quitclaim deed in recordable form upon the expiration or sooner termination of the Lease Term.
Memoranda of Lease. Concurrently with the execution of this Lease, Landlord and Tenant are executing Landlord’s standard form memorandum of lease in recordable form, indicating the names and addresses of Landlord and Tenant, a description of the Properties, the Lease Term, but omitting Rentals and such other terms of this Lease as Landlord may not desire to disclose to the public. Further, upon Landlord’s request, Tenant agrees to execute and acknowledge a termination of lease and/or quitclaim deed in recordable form upon the expiration or sooner termination of the Lease Term. Tenant shall be responsible for the payment of all recording costs, fees and taxes relating to the execution and/or recording of the memorandum of lease or termination of lease pursuant to this Section 16.10.
Memoranda of Lease. The appropriate parties shall have executed memoranda of lease in form and substance satisfactory to UAG.
Memoranda of Lease. Brazos and Lessee each agrees, promptly upon request by the other party hereto or by Agent, to execute Memoranda of Lease in recordable form and otherwise in form and substance satisfactory to Brazos, Lessee and Agent, for all Facilities and all FF&E.
Memoranda of Lease. Concurrently with the execution of this Lease, Xxxxxx and Xxxxxx shall execute, deliver and record, Lessor’s standard form memorandum of lease in recordable form, indicating the names and addresses of Lessor and Lessee, a description of the Properties, the Lease Term, but omitting Rentals and such other terms of this Lease as Lessor or Lessee may not desire to disclose to the public. The parties hereby agree and acknowledge that such memorandum shall include reference to the Lessor’s covenants set forth in Section 8.04 of this Lease. Further, upon Xxxxxx’s request following the expiration or earlier termination of this Lease in accordance with provisions set forth herein, Xxxxxx shall execute and acknowledge a termination of lease and/or quitclaim deed in recordable form to be recorded by Xxxxxx. The third sentence of this Section 17.07 shall survive the expiration or earlier termination of this Lease.
Memoranda of Lease. At the Time of Closing, the Parties shall execute and deliver one or more memoranda of lease (the “Memoranda of Lease”) in the form reasonably agreed to by them, which they shall record in the Office of the Recorder of Deeds of Dauphin County, Pennsylvania. In connection with such recording, the Parties shall cooperate to record the certificate of title. To the extent that changes are made to this Agreement with respect to the Term, leased property or other material matters set forth in the recorded Memoranda of Lease, the Parties shall execute, deliver and record an amendment to the recorded Memoranda of Lease reflecting such changes. The Parties agree not to record this Agreement itself.
