Milestone Payment Timing. It is agreed by Receptos that each Research Milestone Payment in this Section 6.3 shall be payable only once by ONO with respect to Collaboration Target under this Agreement upon the first achievement of the applicable Research Milestone Event, regardless of subsequent or repeated achievement of such milestone event by any ***, Collaboration Compound or ONO Post Collaboration Compound. Upon each achievement of Research Milestone Event Nos. 1-7, Receptos shall inform such achievement by written notice to ONO and issue an invoice to ONO after ONO’s verification of such achievement pursuant to Section 6.3.3. Upon each achievement of Research Milestone Event Nos. 8 and 9, ONO shall inform such achievement by written notice to Receptos and then Receptos shall issue an invoice to ONO. Each Research Milestone Payment shall be paid by ONO to Receptos within twenty (20) business days of ONO’s receipt of an invoice and taxation documents from Receptos. *** with respect to Research Milestone Event Nos. 3-7 (i.e., 1st through 5th Crystallography of Collaboration Target) shall be discussed and determined by the PMT; provided, however, that selection of a *** for the 1st Crystallography of Collaboration Target shall not require the approval of the PMT.
Milestone Payment Timing. The payments set forth in Sections 6.3 and 6.4 hereof shall each be due and payable by GSK to CK within forty-five (45) days of the occurrence of the milestone event set forth therein. For milestones accomplished by CK, such payment shall be due forty-five (45) days after receipt by GSK of an invoice from CK therefor to GSK, subject to GSK's verification during such forty-five (45) day period that the milestone occurred. GSK and CK agree to promptly notify the other of its achievement of any milestone.
Milestone Payment Timing. The payments set forth in this Section 8.4 shall each be due and payable to NovaBay upon the later of (i) payment of the Continuation Fee, and (ii) thirty (30) days of the achievement (or deemed achievement) of the corresponding Milestone Event set forth above. Galderma agrees to promptly notify NovaBay of its achievement of each Milestone Event.
Milestone Payment Timing. AZ and Array each agree to notify the other of its achievement of any milestone promptly, but in any event within twenty (20) days of such achievement. For milestones accomplished by AZ, the relevant payments set forth in Sections 6.3 and 6.4 hereof shall each be due to Array upon notice by AZ to Array of the occurrence of the milestone event set forth therein and shall be payable within thirty (30) days of receipt by AZ of a valid invoice from Array. For milestones accomplished by Array, such payment shall be due thirty (30) days after notice thereof to AZ, subject to AZ’s verification during such thirty (30) day period that the milestone occurred and subject to receipt of a valid invoice from Array.
Milestone Payment Timing. The payments set forth in this Section 8.3 shall each be due and payable to NovaCal within thirty (30) days of the achievement (or deemed achievement) of the corresponding Milestone Event set forth above. Alcon agrees to promptly notify NovaCal of its achievement of each Milestone Event. [***] Confidential treatment has been requested for the bracketed portions. The confidential redacted portion has been omitted and filed separately with the Securities and Exchange Commission.
Milestone Payment Timing. Celgene shall notify Array in writing within thirty (30) days after the achievement of any milestone event set forth in Section 6.2.3 above by Celgene, its Affiliate or Sublicensee, and each such notice shall be accompanied by the appropriate milestone payment. For the avoidance of doubt, the milestone payments set forth in Section 6.2 above shall not be refundable and shall not be creditable against future milestone payments, royalties or other payments to Array under this Agreement, and notification of achievement of Development Milestones 6 and 7 and the payments therefor shall be due within one hundred five (105) days of the end of the calendar year in which they were achieved.
Milestone Payment Timing. Celgene and Array each agree to promptly notify the other of its achievement of any milestone event set forth in Sections 6.2 and 6.3 above and the payment of each corresponding milestone payment set forth in the Section 6.2 or 6.3, as applicable, shall be due and payable by Celgene to Array as follows: (a) for milestones events set out in Section 6.3 above achieved by Celgene, its Affiliate or Sublicensee, Celgene shall notify Array in writing [ * ] after the achievement of each such milestone by Celgene, its Affiliate or Sublicensee, and each such notice shall be accompanied by the appropriate milestone payment; and (b) for milestone events set out in Section 6.2 or Section 6.3 achieved by Array, the appropriate milestone payment shall be due [ * ] after receipt by Celgene of notification from Array thereof, subject to Celgene’s verification during such [ * ] period that the applicable milestone event occurred. For the avoidance of doubt, the milestone payments set forth in Sections 6.2 and 6.3 above shall not be refundable and shall not be creditable against future milestone payments, royalties or other payments to Array under this Agreement, and notification of achievement of Development Milestones 7, 8 and 9 and the payments therefor shall be due within [ * ] of the end of the calendar year in which they were achieved.
Milestone Payment Timing. MEI shall promptly notify Presage in writing of the achievement of any milestone event described above and shall pay the corresponding milestone payment within [*CONFIDENTIAL*] following such achievement of a development or regulatory milestone set forth in Section 5.3(a) or 5.3(b) above and within [*CONFIDENTIAL*] following such achievement of a sales milestone set forth in Section 5.3(d) above.
Milestone Payment Timing. Each Milestone Payment due and payable under this Article III shall be paid by Purchaser to Seller within [*] Business Days following the date of delivery to Seller of the Milestone Achievement Notice.
