Minimum Requirement. During each Contract Year, Client shall purchase the minimum number of units of Product (“Minimum Requirement”) set forth on Exhibit B. If Client does not purchase such Minimum Requirement during any Contract Year, within […***…] after the end of such Contract Year, Client shall pay Catalent the difference between (A) the total amount Client would have paid to Catalent if the Minimum Requirement had been fulfilled for the Product and (B) the sum of all purchases from Catalent for the Product during the just-concluded Contract Year.
Minimum Requirement. The plan shall be considered In compliance with this requirement as long as the procedures are effectively being utilized by the plan on an ongoing basis. The plan shall demonstrate compliance with all related NHC policy and procedure. The Department will not unreasonably withhold approval, and shall work with the plan to meet this requirement.
Minimum Requirement. During each Contract Year, Reliant shall purchase the minimum dollar volume of Product (the “Minimum Requirement”) set forth on Exhibit B. If Reliant does not purchase such Minimum Requirement during any Contract Year, within thirty (30) days after the end of such Contract Year and upon receipt of an invoice from Cardinal Health, Reliant shall pay Cardinal Health the difference between (A) the Minimum Requirement and (B) the sum of all purchases from Cardinal Health for the Product during the just concluded Contract Year.
Minimum Requirement. (i) The Purchase Price has been determined based on the volume and quality of LPG inventory at the Brownsville Terminal Site and in the storage operated by Seller, or its Affiliates at its Matamoros Terminal Site or the respective Pipeline Assets between Matamoros, Mexico and the Brownsville Terminal Site. Such LPG inventory should be no less than the minimum levels and standards for LPG inventory as set forth on Schedule 6.3(d)(i) (the “Minimum Requirement”).
(ii) To determine whether the Minimum Requirement is satisfied, Seller and Buyer shall cause the procedures described in Schedule 6.3(d)(i) to be implemented within or by the periods of time indicated in such Schedule 6.3(d)(i). If pursuant to Schedule 6.3(d)(i) it is determined that the Minimum Requirement was not satisfied as of the Effective Time, then Seller shall pay to Buyer the Deficiency Amount as described in and determined pursuant to such Schedule 6.3(d)(i), such payment to be made by Seller to Buyer within five (5) Business Days of such determination. If pursuant to Schedule 6.3(d)(i) it is determined that the Minimum Requirement was exceeded as of the Effective Time, then Buyer shall pay to Seller the Excess Amount as described in and determined pursuant to such Schedule 6.3(d)(i), such payment to be made by Buyer to Seller within five (5) Business Days of such determination.
Minimum Requirement. The teacher must have a minimum of seven (7) years teaching experience, or seven (7) years experience since their last sabbatical, in ISD 196 and must have given evidence of having attempted to improve the teacher’s professional status through further academic training or other forms of work study at the teacher’s own expense, prior to his/ her application for sabbatical leave.

Client shall purchase the minimum number of units of Product set forth on Attachment C (“Minimum Requirement”). Client agrees to commence process validation on a per Product basis no later than [**] months following approval of Client’s New Drug Application for the applicable Product. If Client does not purchase such Minimum Requirement during any Minimum Requirement Year, then within [**] days after the end of such Minimum Requirement Year, Client shall pay Catalent the difference between (A) the total amount Client would have paid to Catalent if the Minimum Requirement had been fulfilled for the applicable Product and (B) the sum of all purchases of the applicable Product from Catalent during such Minimum Requirement Year. In the event that, as a result of a Regulatory Authority or other Force Majeure Event, Client is prevented from commercializing a Product, Client shall be relieved of the Minimum Requirement for so long as the Force Majeure Event remains; provided that Client use its best efforts to mitigate or remove such Force Majeure Event.
Minimum Requirement. During each Contract Year, Client shall purchase the minimum number of units of Product set forth on Attachment B (“Minimum Requirement”). If Client does not purchase such Minimum Requirement during any Contract Year, then within [***] days after the end of such Contract Year, Client shall pay Catalent [***] of difference between (A) the total amount Client would have paid to Catalent if the Minimum Requirement had been fulfilled for the Product and (B) the sum of all purchases of Product from Catalent during such Contract Year. For the avoidance of doubt, validation Batches which are commercialized by Client shall count towards satisfaction of the Minimum Requirement in the first Contract Year.
Minimum Requirement. Any employee reporting for work at the call of the employer and then no work is provided, shall nevertheless receive two (2) hours pay for so reporting, or in the case where an employee has commenced work, the employee shall receive a minimum of four (4) hours pay.
Minimum Requirement. Borrower recognizes that the requirements imposed upon Borrower hereunder, including, without limitation, insurance requirements, are minimum requirements as determined by Lender and do not constitute a representation that the requirements are complete or adequate. Borrower understands that it is Borrower’s duty and responsibility to act prudently and responsibly at all times for Borrower’s protection and for the protection of the Premises.

If during any Contract Year Palatin purchases a number of units of Product that is less than the Minimum Requirement (the difference, a “Purchase Shortfall”), then within [***] after the end of such Contract Year, Palatin shall pay Catalent an amount equal to [***].
