Minority Right. (i) Notwithstanding Sections 6(a) through 6(c) hereof, if a Majority of Percentage in Interest seeks to take any action or to make a decision under sections (i) through (x) inclusive, (xii) through (xvi) inclusive, and section (xviii), (xxi) and (xxiii) of the definition of Major Decision (each a “Minority Right Decision”), with respect to any such Minority Right Decision, any Holders in not agreement with the Majority of Percentage in Interest’s position in respect of the subject Minority Right Decision (each a “Non-consenting Holder” and the remaining Holders, including the Majority in Percentage Interest and any Holder deemed to have agreed with the Majority of Percentage in Interest’s position in respect of the subject Minority Right Decision, the “Consenting Holders”), at the option of the Majority of Percentage in Interest as set forth in Sections 6 (d)(ii) and (iii) below, shall either (x) sell such Non-consenting Holder’s Mezzanine Note to the Consenting Holders (on a pro rata basis) or (y) purchase the Consenting Holders’ Mezzanine Notes, in either case of (x) or (y) above for the fair market value of such notes as determined as set forth in Section 6(d)(ii) below (the “Purchase Price”). (ii) If a Non-consenting Holder gives written notice to Collateral Agent, Servicer and the Majority in Percentage Interest on or before expiration of the time set forth in Section 6 (c) above that it is not in agreement with the Majority of Percentage in Interest’s position in respect of the subject Minority Right Decision (each a “Non-Consent Notice”) then, by written notice to such Non-consenting Holder no later than five (5) business days after the date of its receipt of a Non-Consent Notice, the Consenting Holders may offer to sell their Mezzanine Notes at a proposed fair market purchase price (a “Sale Offer”, and such proposed price, the “Purchase Price”) or may offer to purchase the Non-consenting Holder’s Mezzanine Note at a proposed fair market

Confirmation of such denial (via reply email) must be received prior to purchasing for this exclusion to be effective. (c) Should the Licensee come to be or already be included in Product promotional material, as a result of any prior purchases where the Licensee did not request exclusion from Product promotional material, the Licensee can at any point in time, submit a written request via email to xxxxx@xxxxxxxx.xxx to have Balsamiq remove the Licensee's name from Product promotional material. Upon receipt of such request, Balsamiq will remove any reference to the Licensee from such promotional material within 30 days and make no further reference to the Licensee.

  • Delay Rights Notwithstanding anything to the contrary contained herein, the Partnership may, upon written notice to any Selling Holder whose Registrable Securities are included in a Registration Statement, suspend such Selling Holder’s use of any prospectus which is a part of such Registration Statement (in which event the Selling Holder shall suspend sales of the Registrable Securities pursuant to such Registration Statement) if (i) the Partnership is pursuing an acquisition, merger, reorganization, disposition or other similar transaction and the Partnership determines in good faith that the Partnership’s ability to pursue or consummate such a transaction would be materially and adversely affected by any required disclosure of such transaction in such Registration Statement or (ii) the Partnership has experienced some other material non-public event, the disclosure of which at such time, in the good faith judgment of the Partnership, would materially and adversely affect the Partnership; provided, however, that in no event shall the Selling Holders be suspended from selling Registrable Securities pursuant to such Registration Statement for a period that exceeds an aggregate of sixty (60) days in any 180-day period or ninety (90) days in any 365-day period. Upon disclosure of such information or the termination of the condition described above, the Partnership shall provide prompt notice to the Selling Holders whose Registrable Securities are included in such Registration Statement, and shall promptly terminate any suspension of sales it has put into effect and shall take such other actions necessary or appropriate to permit registered sales of Registrable Securities as contemplated in this Agreement.

  • Subsidiary Rights The Company or one of its Subsidiaries has the unrestricted right to vote, and (subject to limitations imposed by applicable law) to receive dividends and distributions on, all capital securities of its Subsidiaries as owned by the Company or such Subsidiary.

  • Ancillary Rights 3.1 The Landlord grants the Tenant the following rights (the Rights): (a) the right to support and protection from the Common Parts to the extent that the Common Parts provide support and protection to the Property to the date of this lease; (b) the right to use the External Area for the purposes of pedestrian access to and egress from the interior of the Building; (c) the right for visitors to the Property with the appropriate disabled parking permit to park in those spaces in the External Area designated by the Landlord from time to time as being disabled parking spaces; (d) the right to use the hallways, corridors, stairways, lifts and landings of the Common Parts shown shaded purple on the Floor Plans for the purposes of access to and egress from the Property and the lavatories and washrooms referred to in clause 3.1(e); (e) the right to use the lavatories and washrooms on the ground and first floors of the Building; (f) the right to use and to connect into any Service Media at the Building that belong to the Landlord and serve (but do not form part of) the Property which are in existence at the date of this lease or are installed or constructed during the term; (g) the right to attach any item to the any part of the Building adjoining the Property so far as is reasonably necessary to carry out any works to the Property required or permitted by this lease; (h) the right to enter the Common Parts or the Museum so far as is reasonably necessary to carry out any works to the Property required or permitted by this lease; and (i) the right to pass and xxxxxx on foot across those parts of the Central Gallery SUBJECT always to temporary interruption to the said right in accordance with the provisions of the Community Use and Management Agreement; (j) the right to use the Central Gallery in accordance with the terms of the Community Use and Management Agreement (k) the right to use part of the External Area as designated by the Landlord from time to time for the storage of waste containers in accordance with the Community Use and Management Agreement (l) the right to use the Terrace in accordance with the terms and conditions of the Community Use and Management Agreement. (m) where it is not reasonably practicable to seat 40 people in the Café, the right to place seating in the Additional Seating Space to ensure that there are a total of 40 seats available in the Café and the Additional Seating Space. (n) the right to display publicity material advertising the events to be held at the Property on such part of any noticeboard affixed to the exterior of the Building as the Landlord designates for use by the Tenant 3.2 The Rights are granted in common with the Landlord and any other person authorised by the Landlord. 3.3 The Rights are granted subject to the Third Party Rights insofar as the Third Party Rights affect the Common Parts and the Museum and the Tenant shall not do anything that may interfere with any Third Party Right. 3.4 The Tenant shall exercise the Rights (other than the Right mentioned in clause 3.1(a)) only in connection with its use of the Property for the Permitted Use and in accordance with the provisions of the Community Use and Management Agreement and any regulations made by the Landlord as mentioned in clause 27.1. 3.5 The Tenant shall comply with all laws relating to its use of the Common Parts, Terrace and Central Gallery pursuant to the Rights. 3.6 In relation to the Rights mentioned in clause 3.1

  • Permitted Transactions The Member is free to engage in any activity on its own or by the means of any entity. The Member’s fiduciary duty of loyalty, as it applies to outside business activities and opportunities, and the “corporate opportunity doctrine,” as such doctrine may be described under general corporation law, is hereby eliminated to the maximum extent allowed by the Act.

  • Outside Interests Executive shall not, without the prior written consent of the Company, directly or indirectly, during the term of this Agreement, other than in the performance of duties naturally inherent to the business of the Company and in furtherance thereof, render services of a business, professional or commercial nature to any other person or firm, whether for compensation or otherwise; provided, however, that Executive may attend to outside investments, and serve as a director, trustee or officer of, or otherwise participate in, educational, welfare, social, religious and civic organizations so long as such activities do not materially interfere with his full-time employment hereunder.

  • Affiliated Transactions The Company shall cause each of the Initial Stockholders to agree that, in order to minimize potential conflicts of interest which may arise from multiple affiliations, the Initial Stockholders will present to the Company for its consideration, prior to presentation to any other person or company, any suitable opportunity to acquire an operating business, until the earlier of the consummation by the Company of a Business Combination, the liquidation of the Company or until such time as the Initial Stockholders cease to be an officer or director of the Company, subject to any pre-existing fiduciary or contractual obligations the Initial Stockholders might have.
