Miscellaneous 11 Různá Ustanovení. (a) This Agreement constitutes the entire agreement among the Parties regarding the services performed and supersedes all prior and contemporaneous agreements and understandings, whether written or oral and may be modified only with the mutual written consent of the Parties. In the event of a conflict between the two language versions, the Czech version shall prevail. The Parties agree that any disputes arising out of or in connection with this Agreement shall be settled by a competent court in the Czech Republic. (a) Tato Smlouva tvoří úplnou smlouvu mezi Stranami ohledně provádění Služeb a nahrazuje všechny předchozí a souběžné smlouvy a ujednání, ať už písemné, nebo ústní, a může být upravována pouze na základě vzájemného písemného souhlasu Stran. V případě rozporu mezi oběma jazykovými verzemi je rozhodující česká verze. Smluvní strany se dohodly, že případné spory vzešlé z této Smlouvy, nebo v souvislosti s ní, budou rozhodovány příslušným soudem v České republice.

  • Severability Any provision of this Agreement that is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof, and any such prohibition or unenforceability in any jurisdiction shall not invalidate or render unenforceable such provision in any other jurisdiction.

  • Miscellaneous The Vendor acknowledges and agrees that continued participation in TIPS is subject to TIPS sole discretion and that any Vendor may be removed from the participation in the Program at any time with or without cause. Nothing in the Agreement or in any other communication between TIPS and the Vendor may be construed as a guarantee that TIPS or TIPS Members will submit any orders at any time. TIPS reserves the right to request additional proposals for items or services already on Agreement at any time.
