Miscellaneous 18 Různé. 18 . 1 This Agreement represents the entire understanding of the Parties and supersedes all prior negotiations, understandings or agreements (oral or written) between the Parties concerning the subject matter hereof. In the event of any inconsistency between this Agreement and the Protocol, the terms of this Agreement shall govern. If a provision of this Agreement is or becomes (i) illegal under any applicable law or regulation, (ii) invalid or (iii) otherwise unenforceable, such illegality, invalidity or unenforceability shall not affect the validity or enforceability of any other term or provision of this Agreement. All waivers of the terms of this Agreement shall be in writing. Failure to insist upon compliance with any of the terms and conditions of this Agreement shall not constitute a general waiver or relinquishment of any such terms or conditions, but the same shall remain at all times in full force and effect. 18 . 1 Tato smlouva představuje celé ujednání smluvních stran a nahrazuje všechna předchozí jednání, ujednání nebo dohody (ústní či písemné) mezi smluvními stranami týkající se předmětu smlouvy. V případě rozporu mezi touto smlouvou a protokolem budou mít přednost podmínky této smlouvy. Pokud některé ustanovení této smlouvy je nebo se stane (i) nezákonným podle jakéhokoli platného zákona nebo předpisu, (ii) neplatným nebo (iii) jinak nevymahatelným, nebude mít tato nezákonnost, neplatnost či nevymahatelnost vliv na platnost či vymahatelnost ostatních podmínek nebo ustanovení této smlouvy. Všechna případná prominutí podmínek této smlouvy musí mít písemnou formu. Pokud některá smluvní strana nebude trvat na dodržení některých podmínek této smlouvy, nebude to představovat obecné prominutí těchto podmínek nebo upuštění od nich; tyto podmínky zůstanou po celou dobu v plné platnosti a účinnosti.
