Zdravotnické zařízení nepostoupí ani nepřevede jakákoli práva či závazky z této Smlouvy bez předchozího písemného souhlasu Zadavatele. Na základě žádosti Zadavatele, IQVIA kdykoli postoupí tuto Smlouvu, v úplnosti nebo částečně, na Zadavatele nebo jakoukoli třetí stranu podle žádosti Zadavatele, a IQVIA nebude odpovědný za jakékoli závazky či odpovědnosti dle této Smlouvy, jež vyplynou po datu převodu a Zdravotnické zařízení tímto souhlasí s takovým postoupením. Zdravotnickému zařízení bude takové postoupení či převod oznámeno bez zbytečného odkladu Zadavatelem nebo nabyvatelem. Od data postoupení této Smlouvy budou pro tuto třetí stranu, která je nabyvatelem, její ustanovení závazná. Zadavatel, na základě písemného oznámení Xxxxx provádění klinického hodnocení, může postoupit tuto Smlouvu společnosti Seattle Genetics, Inc. (farmaceutická společnost, která má určitá práva na Hodnocený přípravek, který je předmětem této Smlouvy) nebo jejím přidruženým společnostem, za předpokladu že společnost Seattle Genetics, Inc. se zaváže, že bude vázána podmínkami této smlouvy. 18.4 Rozhodné právo a soudní příslušnost Tato Smlouva bude vykládána a vymáhána v souladu s právním řádem České republiky. Veškeré xxxxx vzniklé z této Smlouvy nebo v souvislosti s ní budou řešeny příslušnými obecnými soudy v místě provádění studie. Strany berou na vědomí, že porušení této Smlouvy jednou smluvní stranou může jiným stranám způsobit nenapravitelnou škodu. V případě takového porušení má smluvní strana, která se porušení nedopustila, navíc k jakýmkoli a veškerým nápravným prostředkům podle příslušných zákonných předpisů, také právo usilovat o vydání soudního příkazu, opatření ke specifickému plnění nebo jiného nápravného opatření zabraňujícího straně neplnící smluvní povinnosti v porušování ustanovení Smlouvy. 18.5 Rozhodná jazyková verze Tato Smlouva je vyhotovena v anglickém a českém jazykovém znění. V případě jakéhokoli rozporu bude rozhodující česká jazyková verze. 18.6 Tato Smlouva je vyhotovena ve čtyřech stejnopisech, Zdravotnické zařízení obdrží dva stejnopisy a ostatní smluvní strany obdrží po jednom stejnopisu.

Guardian acknowledges that this Agreement contains, among other provisions, the following contractual terms: an assumption of risk, a covenant not to sue, a release of the Guardian and Minor’s claims, and indemnification obligations. Guardian represents that Participant is under 18 years of age and that Guardian is fully competent and authorized to sign this Agreement on Participant’s behalf. Guardian gives permission for Participant to engage in the Activity. In consideration for UVU permitting Participant to engage in the Activity, Guardian, for Participant, and for their respective heirs, personal representatives, and assigns, agrees as follows:
Prevailing Language. If any of the terms or conditions set forth within this Agreement were to be translated into a language other than English, then the English version will be controlling in all respects and will prevail in the event of discrepancies and/or inconsistencies between the English and translated versions, if any. Client hereby agrees that under no circumstances shall the Company be responsible for any damage or loss caused by any error, inaccuracy, misunderstanding, or misspelling resulting from or related to translations of this Agreement.
