Model Form 5 Mining Venture Agreement. The provisions of the JVA shall be consistent with the terms hereof and generally follow the Model Form 5 Mining Venture Agreement of the Rocky Mountain Mineral Law Foundation (1984); provided, however, the parties specifically recognize that it may be necessary or convenient to create a corporate joint venture to replace the JVA, and in such event the parties agree to subsequently execute definitive documentation to replace the JVA. Such definitive documentation shall reflect the terms and intent of the JVA and shall, except as otherwise provided in the JVA or necessary to comply with local law, be similar in form and substance to the Model Form 5 Mining Venture Agreement of the Rocky Mountain Mineral Law Foundation (1984).   • Joint Venture Agreement The Borrower shall ensure that the Administrative Agent is provided in a timely manner with copies of any material notices or communications made by the participants of the LGJV, including notices of the Corporation Board, OpCo Board and Partner (as each such term is defined in the LGJV Agreement) meetings or decisions to be made (including at least 5 days prior notice of any decisions which fall within the scope of section 3.5 of the LGJV Agreement), and copies of all records or minutes of Corporation Board, OpCo Board and Partner meetings. The Borrower shall pay all Cash Calls (as defined in the LGJV Agreement), and any other amounts required to be paid under the LGJV Agreement as and when required.

If Borrower shall default in the performance or observance of any material term, covenant or condition of the Management Agreement on the part of Borrower to be performed or observed, then, without limiting Agent’s other rights or remedies under this Agreement or the other Loan Documents, and without waiving or releasing Borrower from any of its obligations hereunder or under the Management Agreement, Agent shall have the right, but shall be under no obligation, to pay any sums and to perform any act as may be appropriate to cause all the material terms, covenants and conditions of the Management Agreement on the part of Borrower to be performed or observed.

  • Operating Agreement The Borrower will not amend, modify, waive or terminate any provision of its operating agreement without the prior written consent of the Administrative Agent.
