Common use of Modern Slavery Clause in Contracts

Modern Slavery. 17.1 Each Party undertakes, warrants and represents that: 17.1.1 neither it nor any of its officers, employees, agents or subcontractors has: 17.1.1.1 committed an offence under the Modern Slavery Act 2015 (a “MSA Offence”); or 17.1.1.2 been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Xxx 0000 or 17.1.1.3 become aware of any circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Xxx 0000; 17.1.2 it shall comply with the Modern Slavery Act 2015 and shall immediately implement (if it has not already done so) and comply with a Modern Slavery Policy; 17.1.3 it shall notify the other Party immediately in writing if it becomes aware or has reason to believe that it, or any of its officers, employees, agents or subcontractors have breached or potentially breached any of its obligations under clause 17.1. Any notice under this clause 17.1.3 shall set out full details of the circumstances concerning the breach or potential breach of the relevant Party’s obligations. 17.2 Each Party shall conduct a programme of regular training for its officers, employees, agents, subcontractors and other members of its supply chain to ensure compliance with its Modern Slavery Policy.
