Modification of Licensed Materials. The Participating Institutions or the Authorized Users shall not modify or manipulate the Licensed Materials without the prior written permission of the Licensor.

If, in the reasonable opinion of the Licensee, any such modification renders the Licensed Materials substantially less useful in a material respect to the Members or its Authorized Users, Licensee may seek to terminate this License Agreement for breach pursuant to the termination provisions in section 10 [Term, Renewal, and Termination].

No audio material and visuals may be edited, added or deleted in any way without the Licensor's express, prior, and written permission. The Licensee shall not decompile, disassemble or otherwise reverse-engineer the Show.

Neither Licensee nor its Authorized Users may modify, adapt, transform, translate or create any derivative work in any medium based on or including any materials in the Licensed Materials, or otherwise use any such materials in a manner that would infringe the copyright or other proprietary rights therein. No copyright notices, trademark or proprietary notices, author attributions or other notices or disclaimers in the Licensed Materials included by Licensor, may be removed, obscured or modified in any way. Licensee shall post appropriate notices and take reasonable measures to ensure that Authorized Users are informed of the applicability of copyright law and have agreed to the restrictions in this License with respect to the reproduction, use and transmission of the Licensed Materials. In the event of violation of the terms and conditions of this License or of applicable copyright law, Licensor and Licensee agree to take immediate action to suspend access to the Licensed Materials by any Authorized User violating these restrictions on reproduction, use and transmission of the Licensed Materials and shall consider other restrictions on access to and retrieval of the Licensed Materials, including additional limitations on printing and downloading without prejudice to Licensor’s rights and remedies.
Modification of Licensed Materials. Licensee understands that from time to time the Licensed Materials may be added to, modified, or deleted from by Licensor and/or that portions of the Licensed Materials may migrate to other formats. Licensor shall give a thirty (30) day advance notice of any modifications or deletions to Licensee. Failure by Licensor to provide such notice shall be grounds for immediate termination of the Agreement by Licensee. If the withdrawal of licensed materials represents more than 10% of the originally- licensed content, the Licensor shall refund to Licensee that part of the fee that is in proportion to the amount of material withdrawn and to the remaining unexpired portion of the subscription period. If the withdrawal materially diminishes the usefulness of the Licensed Materials, Licensee may treat such changes as a material breach of this License.
Modification of Licensed Materials. Licensee, the Participating, or Authorized Users Institutions shall not modify, reverse assemble, decompile, reverse engineer, manipulate or create derivative works of the Licensed Materials.
Modification of Licensed Materials. In the unlikely event of the need to withdraw the Licensed Materials or make a Major Modification (defined as a withdrawal of over 30% of the content of the Licensed Materials), the Licensor reserves the right in such instances to modify or withdraw from the Licensed Materials any item or part of an item for which it no longer retains the right to publish, or which it has reasonable grounds to believe infringes Intellectual Property Rights, or which is inaccurate, defamatory, offensive or otherwise likely to be unlawful or promote illegal or unlawful activity. In relation to the withdrawal of a material part of the Licensed Materials, such that this is a Major Modification, the Licensor shall give written notice to the Licensee of such withdrawal no later than 30 days following the removal of any item.
