Monitoring role. According to Xxxxxxxxxx (2000), the monitoring role of the board can be split up into two functions. The first function is to select appropriate candidates to be appointed as CEO and sit in on the board, captures the amount of compensation for them and decides about their retention. The other funtion concerns supervising auditing, financial statements and the process of accounting. Stakeholders and investors use this information to make up their mind about the company’s performance. It is recommended to appoint more outside directors for this responsibility. Outside directors monitor management more intensively because they are less susceptible to the influence of managers’ ideas (Xxxxx & Xxxxxxxx, 2007; Xxxxx, Xxxxxx, & Xxxxxx, 2008; Weisbach, 1988). However, outsiders have less access to information than insiders and are less familiar with the business environment of the firms. It is possible to have too many outsiders on the board which leads to a reduction of firm performance (Xxxx & Xxxxxxx, 1992; Xxxxxx, Matsusaka, & Xxxxx, 2010; Xxxxxx & Xxxxx, 2008).
