Name Brand. If a special brand is specified in this purchase order, the goods and/or services being purchased must meet the standard for quality, performance, and use of such brand. If Purchaser elects to accept goods and/or services purported to be equal to the special brand, the goods and/or services may be rejected if any specification is determined to be nonconforming. 9b) Custom-Made: Any parts or materials that are custom-made to Purchaser’s specifications are required to pass inspection criteria established by Purchaser’s Quality Assurance Department.
Name Brand. (a) The name of the Company is Verizon Ventures V LLC, provided however that promptly after the public announcement by the Members regarding the formation of the Company, the name of the Company shall be changed by the Members to “Verizon and Redbox Digital Entertainment Services, LLC”. Subject to the terms and conditions of the Redbox Trademark Agreement and Verizon Trademark Agreement, (i) the Company may also conduct business at the same time under one or more fictitious names if the Board of Managers determines that such is in the best interests of the Company, and (ii) the Board of Managers may change the name of the Company, from time-to-time, in accordance with applicable law.
(b) Unless the Member or its Affiliate owning the respective Redbox Brand or Verizon Brand agrees otherwise in writing with respect to its brand, but in any case in accordance with the Redbox Trademark Agreement and Verizon Trademark Agreement, as applicable, the Redbox Brand and the Verizon Brand shall each be prominently featured in connection with the Company’s marketing and provision of products and services related to the Business Purpose.
Name Brand. 11.1. Subject to any required consents, the name of the enterprise operated by the Combined Group, as well as of the Bidder, shall be “Xxxxxxx Nixdorf”. As soon as reasonably practical after the Closing, the articles of association of the Bidder and the Company shall be amended to reflect the name contemplated in the previous sentence. In case the requisite consents cannot be obtained, the Parties shall in good faith negotiate a substitute name that reflects both the name of the Bidder and the Company in a balanced way.
11.2. The corporate colors of the Combined Group will include red as used by the Company and blue as used by the Bidder.
11.3. The Combined Group shall incorporate the principle of the Company’s logo design with blue characters and with a red stripe.
