Named Active User Sample Clauses

Named Active User. (i) Use of the Software through the subscription service is subject to a Named Active User limit. The maximum number of Named Active Users shall be defined as the total sum of Named Active Users subscribed to by Customer for the Service Term as specified on the Order Form. Customer has the right to substitute the actual Named Active User to any alternative Named Active User at any time. (ii) Customer may, at any time during the Service Term, increase the Named Active User limit placed in Section 2.2(b)(i) above by submitting an Order Form to Athena for such additional new Named Active Users limit. Athena shall apply applicable Fees upon the grant of Software use rights to such Named Active Users. (iii) Customer may reduce the Named Active User limit placed in Section 2.2(b)(i) above provided that Customer gives advanced written notice of such reduction. Customer will not be entitled to any refund, credit or receive any compensation for the reduction in the number of Named Active Users. Customer may only exercise this right subject to the following: A. the number of Named Active Users after the reduction is less than Athena’s minimum list price threshold, Customer must still pay the minimum list price Fee; and B. the notice must be given prior to the beginning of (not during) a Service Term or Renewal Term.

  • Active/Inactive Employee If you are covered under another plan as an active employee, your benefits and those of your dependents under that plan will be determined before benefits under this plan. The plan covering the active employee and dependents will be the primary plan. The plan covering that same employee as inactive (including those who are retired or have been laid off) will be the secondary plan for that employee and dependents.

  • Authorized Activities In carrying out the purposes of the Partnership, but subject to all other provisions of this Agreement, the Partnership is authorized to engage in any kind of lawful activity, and perform and carry out contracts of any kind, necessary or advisable in connection with the accomplishment of the purposes and business of the Partnership described herein and for the protection and benefit of the Partnership; provided that the General Partner shall not be obligated to cause the Partnership to take, or refraining from taking, any action which, in the judgment of the General Partner, (i) could adversely affect the ability of the General Partner to qualify and continue to qualify as a REIT, (ii) could subject the General Partner to additional taxes under Code Section 857 or 4981 or (iii) could violate any law or regulation of any governmental body or agency having jurisdiction over the General Partner or its securities.

  • LIMITED ACTIVITIES Except for activities in connection with the Offering, the Formation Transactions or in the ordinary course of business, the Operating Partnership and the Operating Partnership Subsidiaries have not engaged in any material business or incurred any material obligations.

  • Active NFFE An “Active NFFE” means any NFFE that meets any of the following criteria:

  • Prohibited Activity Subrecipient is prohibited from using funds provided herein, or personnel employed in the administration of the program, for: political activities, sectarian or religious activities, lobbying, political patronage, and nepotism activities.

  • Class, Collective and Representative Action Waiver THE PARTIES AGREE THAT COVERED CLAIMS WILL, AT EITHER PARTY’S ELECTION, ONLY BE ARBITRATED ON AN INDIVIDUAL BASIS AND THAT EACH WAIVES THE RIGHT TO PARTICIPATE IN OR RECEIVE COMPENSATION FROM ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. NO PARTY MAY BRING A CLAIM ON BEHALF OF OTHER INDIVIDUALS; ANY ARBITRATOR HEARING A COVERED CLAIM MAY NOT COMBINE MORE THAN ONE INDIVIDUAL’S CLAIM OR CLAIMS INTO A SINGLE CASE OR TO ARBITRATE ANY FORM OF A CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING. SHOULD ANY PORTION OF THE FOREGOING WAIVER BE FOUND INVALID, THE REMAINING PORTION THAT IS VALID WILL BE ENFORCED TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW.

  • CONCERTED ACTIVITIES It is agreed and understood that there will be no strike, work stoppage, slowdown, picketing or refusal or failure to fully and faithfully perform job functions and responsibilities, or other interference with the operation of the District by the Association or by its officers, agents, or workers covered by this Agreement, during the term of this Agreement, including compliance with the request of other labor organizations to engage in such activity.

  • Outside Activity A. Although an employee may, in accordance with Article 19, Conflict of Interest/Outside Activity, engage in outside activity, including employment, pursuant to a consulting agreement, requirements that an employee waive the employee's or University's rights to any work or inventions which arise during the course of such outside activity must be approved by the President or representative. B. An employee who proposes to engage in such outside activity shall furnish a copy of this Article and the university's patents policy to the outside employer prior to or at the time a consulting or other agreement is signed, or if there is no written agreement, before the employment begins.

  • Active Duty If an individual is inducted into military service, the District will abide by state law regarding veteran’s benefits.
