Outside Activity. A. Although an employee may, in accordance with Article 19, Conflict of Interest/Outside Activity, engage in outside activity, including employment, pursuant to a consulting agreement, requirements that an employee waive the employee's or University's rights to any work or inventions which arise during the course of such outside activity must be approved by the President or representative. B. An employee who proposes to engage in such outside activity shall furnish a copy of this Article and the university's patents policy to the outside employer prior to or at the time a consulting or other agreement is signed, or if there is no written agreement, before the employment begins.

Outside Activity. No employee may directly or indirectly maintain or engage in any outside business, financial interest or employment activity which in the opinion of the Chief of Police conflicts with the interest of Department or which interferes with the employeesability to discharge their duties fully. Such conflict of interest shall be grounds for discipline, up to and including discharge.

Outside Activity. (a) Any Affiliate of a Partner and any stockholder, director, officer or employee of a Partner may have business interests and engage in business activities in addition to those relating to the Partnership, provided, however, that, except as provided in Section 6.3(d), each Partner will not, and will cause its Affiliates (in the case of Waltxx Xxxeet, only its Associates) not to, purchase any interest in, or otherwise deal with, the Target Partnership except through the Partnership. (b) If a Partner (the "Proposing Partner") desires that the Partnership make a Follow-up Offer, then if the other Partner does not agree to the terms thereof within 48 hours (5 days if no Competing Offer is then outstanding) after the Proposing Partner proposes such Follow-up Offer, the Proposing Partner or its Affiliate shall be entitled to make such Follow-up Offer independently of the Partnership. In such event, none of the Partnership, the other Partners or its Affiliates shall make a Tender Offer competing with such Follow-up Offer. Any Follow-up Offer made together by the Partners shall be completed on a basis where each of Waltxx Xxxeet and Insignia have a 50% interest with joint control as co-managing partners and on other terms substantially similar to the terms of this Agreement. (c) Without the consent of all Partners, each Partner agrees that it will not, and will cause its Affiliates (in the case of Waltxx Xxxeet, as to its Associates only) not to, (i) participate in, directly or indirectly, any solicitation of proxies or become a participant in any election contest with respect to any general partner interest in the Target Partnership, or (ii) acquire, directly or indirectly, any general partner interest in the Target Partnership. Outside Activity. The parties to this Agreement shall take no action, direct or indirect, to deny or effectively reduce the constitutional rights of any paraeducator. No exercise of any right of citizenship or any religious or political activities of any paraeducator or the lack thereof shall be ground for disciplinary or discriminatory action with respect to the employment of such paraeducator. It is expressly recognized that the private and personal life of any paraeducator is neither within the concern of, nor the subject of any action taken by, the employer or his representative unless it affects the educational process of the school system.

Outside Activity. 30.1 The parties acknowledge that The Monterey County Herald must maintain the public trust and the highest degree of integrity with a strong reputation for fairness and impartiality in reporting the news and its business operations. In order to accomplish this, there are certain safeguards that must apply with respect to outside employment and activities to The Monterey County Herald employees. Employees must first obtain written approval of their division director prior to accepting outside employment. Limitations on outside employment include, but are not limited to: 30.1.1 Employment that conflicts with your work schedule, duties and responsibilities; 30.1.2 Employment that creates a conflict of interest or is incompatible with your employment with the Company; 30.1.3 Employment that impairs or has a detrimental effect on your work; 30.1.4 Employment that requires you to conduct your work or related activities on the Company’s property during your working hours or using the Company’s facilities or equipment; or 30.1.5 Employment that competes with the business or the interests of the Company. 30.2 The Monterey County Herald encourages its employees to be involved in community organizations. However, where such involvements affect or impact, or may affect or impact, the reputation, integrity or appearance of fairness of The Monterey County Herald, written approval of the Division director must be obtained. Employees are encouraged to discuss such involvements in outside activities with their Division director ahead of time, in order to avoid conflicts in the future. 30.3 To further reduce even the appearance of a conflict of interest, employees are encouraged to avoid positions that entail seeking publicity for their group or community organization. Recognizing that it is not possible to foresee all conflicts that could emerge, employees are expected to be alert to involvement that may affect or impact the reputation, integrity or appearance of fairness with The Herald, and, when they surface, bring them to the attention of their Division director.
