National Marketing Fund. The National Marketing Fund shall be maintained and administered by Us as follows: (a) All Franchisees and Our operating Fixed-Unit restaurants will be required to pay a fee into the National Marketing Fund to advertise the System on a regional, national, or international level. You will be required to pay a National Marketing Fund contribution equal to one percent (1%) of Your Gross Revenue at the same time and in the same manner as the royalty fee (see Section 5.02.) (b) We will consult on a quarterly and annual basis with the FAC (or FOA as provided in Section 8.18), or any designated marketing council of the FAC or FOA regarding the Fund, the advertising budget, uses of the Fund and administration of the Fund, including Fund expenses. We will seek approval of the FAC or FOA for the National Marketing Fund budget, but we reserve the right to exercise our reasonable discretion with respect to the Fund, the budget, administration and the propriety of all expenditures.
