Fund Expenses definition
Fund Expenses has the meaning set forth in Section 2.5.1.
Fund Expenses. As specified in Article III.9(c).
Fund Expenses means operating costs and expenses of the Fund including without limitation: (i) out-of-pocket expenses that are associated with disposing Portfolio Company Securities, including transactions not completed; (ii) extraordinary expenses, if any (such as certain valuation expenses, litigation and indemnification payments); (iii) interest on borrowed money, investment banking, financing and brokerage fees and expenses, if any; and (iv) expenses associated with the Fund’s tax returns and Schedules K-1, custodial, legal and insurance expenses, any taxes (other than taxes treated as Distributions pursuant to Article VI.5), fees or other governmental charges levied against the Fund, (v) attorneys’ and accountants’ fees and disbursements on behalf of the Fund; (vi) insurance, regulatory or litigation expenses (and damages); (vii) expenses incurred in connection with the winding up or liquidation of the Fund; (viii) expenses incurred in connection with any amendments to the constituent documents of the Fund and related entities, including the Administrator; (ix) expenses incurred in connection with the Distributions to the Members and in connection with any meetings called by the Administrator; (x) the Platform Fees; and (xi) all other organizational and operating expenses of the Fund, including the formation of the Fund in the state of Delaware (excluding any regulatory expenses, or other costs incurred by the Administrator in connection with its daily operations, including but not limited to salary and other payments to employees or officers of the Administrator).
Examples of Fund Expenses in a sentence
Fund Expenses may be paid out of any funds of the Partnership (or of any Feeder Funds, Parallel Funds and/or Intermediate Entities) in a manner reasonably determined by the General Partner.
SP+ INFRA will reimburse the Investment Advisor for such advanced Initial Fund Expenses Support each month by no later than the date that is sixty (60) months after the first anniversary of the Initial Closing Date, unless, upon request by the Investment Advisor, the Board of Directors agrees for SP+ INFRA to reimburse the Investment Advisor non-ratably for any month.
More Definitions of Fund Expenses
Fund Expenses means: (a) the Organizational Expenses, (b) the out of pocket or third party expenses incurred in connection with maintaining the organizational existence and continuing operations of the Fund including the preparation and delivery of reports to the Limited Partners, (c) any fees and expenses of third parties providing services to the Fund such as custodians, counsel and accountants, (d) expenses relating to the management of the Fund’s Investments, including researching any potential investment, (e) any taxes, fees or other governmental charges levied against the Fund or on its income, assets or operations (other than taxes or withholding attributable to a specific Partner), (f) Management Fees, (g) costs of insurance for the benefit of the Fund, (h) costs relating to indemnification or contribution by the Fund as provided under this Agreement, (i) costs of winding up and liquidating the Fund and amounts necessary for the establishment of reasonable reserves, and (j) all other reasonable and legitimate costs and expenses of the Fund in connection with this Agreement; provided that “Fund Expenses” shall not include any General Partner Expenses.
Fund Expenses means all expenses incurred by the Trustee, the Administrator, the Investment Manager or any third party, in each case for the account of the Fund, in connection with the establishment and ongoing management and administration of the Fund and the ongoing administration of the Units together with all amounts paid by the Fund on account of the indebtedness of the Fund.
Fund Expenses means, without limitation, all the costs and expenses of and incidental to the establishment, operation, management, administration, investment, restructure or termination of the Fund and the discharge of all obligations by or on behalf of the Trustee.
Fund Expenses means all the Segregated Fund’s expenses that are paid out of assets of the fund, including Management Expenses and Trading Expenses.
Fund Expenses means (i) the establishment expenses of the Feeder Fund and the Master Fund amortised over a period of up to three years in accordance with the Governing Instruments and (ii) any operational and other expenses of the Master Fund and the Feeder Fund, including without limitation any expenses incurred in relation to fees due to various service providers, the Fund Administrator and the Fund Manager;
Fund Expenses means fund organizational costs, CPA related costs for tax return preparation, financial statement preparation, and/or audits, legal fees and costs, filing, licensing, or other governmental fees, other third party audits, loan servicing fees, fund administration costs, capital acquisition fees and costs (including payment to duly licensed third parties who are contracted by the Manager to raise capital for the Fund), loan origination and/or other fees associated with any Credit Facilities, costs associated with ownership of real property, e.g., property improvement and rehabilitation costs not otherwise capitalized, sales commissions, property taxes, property management, hazard insurance, utilities, any Collection Fees due Synergy, and any other expenses associated with operation of the Fund or management of its Assets.
Fund Expenses includes but is not limited to Fund organizational costs, costs for tax return preparation, financial statement preparation and/or audits, legal fees and costs, filing, licensing, or other governmental fees, other third party audits, loan fees and servicing fees, Fund administration costs, capital acquisition fees and costs (including payment to duly licensed third parties who are contracted by the Manager to raise capital for the Fund), loan brokerage and origination and/or other fees associated with any Credit Facilities, costs associated with ownership of real property, e.g., property improvement and rehabilitation costs not otherwise capitalized, sales and leasing commissions, property taxes, property management, insurance premiums, utilities, and any other expenses associated with operation of the Fund or management of its Assets. Fund Expenses may be direct costs, or allocated costs reimbursable to third parties or entities (including Manager or Affiliates).
