Advertising Budget. All annual advertising and other marketing budgets prepared by INMD shall be subject to the review, amendment, approval and disapproval of the Joint Practice Management Board.

Adrenalina agrees to spend a minimum of twenty percent (20%) of the Guaranteed Minimum Wholesale Net Sales forecasts for the applicable year (as set forth in paragraph 7 and 9 above, as applicable) on advertising the Products in trade and consumer press which amount shall not serve to reduce or otherwise decrease the calculation of Wholesale Net Sales. In Year 1 of the initial Term only, Adrenalina agrees to spend a minimum of $2,000,000 on advertising, regardless of actual Wholesale Net Sales for such year. The advertising budget may include, among other matters, expenses associated with the promotion at trade shows, in-store signage, POS, Gift With Purchase, consumer advertising and retailer circulars. If the entire marketing budget has not been used in any Year, the excess may be carried over to subsequent Years, but will not be paid to Licensor. If the actual advertising expenditures in any given year (other than Year 1 of the initial term) exceeds twenty percent (20%) of the applicable Minimum Wholesale Net Sales forecast the excess over the twenty percent (20%) minimum may be used by Licensee to offset subsequent required advertising expenditures during the Term. Licensor shall have final approval on all advertising, content and advertising channels and venues, which shall not be unreasonably withheld. Once advertising has been approved, the approval shall not be later withdrawn.

Licensor shall have final approval on all advertising , including but not limited to any use of Artist's name and/or likeness, content and advertising channels and venues. Advertising Budget. Licensee shall expend U.S. $+++++++ for national print advertising, public relations and fashion show related events in the first Royalty Year. c. Marketing team: Throughout the term, the Licensee shall dedicate a brand manager to market the products. The marketing team need not be exclusively dedicated to the marketing of the Products, and the manager may he an employee of Adrenalina.
Advertising Budget. 7.1 Advertisers shall prepay its advertising budget through credit card or bank transfer. Advertisers shall pay all charges in U.S. Dollars or in GBP, according to the currency set up in its Redpath Media Administration Panel.
7.2 Charges are exclusive of taxes. Customer is responsible for paying all taxes, government charges, and reasonable expenses and legal fees Redpath Media incurs collecting unpaid amounts. Charges are solely based on Redpath Media Ad Serving Platform measurements, unless otherwise agreed in writing. Nothing in this agreement or an Insertion Order will obligate Redpath Media to credit any party.
7.3 Advertiser acknowledges that any credit card and related billing and payment information that Advertiser provides to Redpath Media might be shared with companies who work on Redpath Media’s behalf, including payment processors and credit agencies, solely to check credit, effect payment to Redpath Media, and service Advertiser’s account.
7.4 Redpath Media may withhold deposit or charge Advertiser’s account due to any breach of this agreement by Advertiser.

(c) For the first Royalty Year, in addition to the payments se forth in Item 14 (a) and (b), LICENSEE shall pay to LICENSOR for the purpose of advertising, marketing and brand support for the launch of the Licensed Products the sum of $*** (the "Launch Budget"). Advertising Budget. For each Year during the Term, ACI will commit to an incremental funds budget of one million dollars ($1,000,000) that is incremental to Xxxxxx.xxx's other marketing efforts for general advertising through traditional media outlets specifically promoting the Xxxxxx.xxx Health and Beauty Section. Such funds will be used to cover actual payments to third parties for the advertising placements and production costs. ACI will determine the nature, timing and content of which shall be determined by ACI in its sole discretion, subject to the reasonable prior review and approval of xxxxxxxxx.xxx, which will not be unreasonably withheld.
