This covenant is intended to be for the benefit of the holders, and the prospective purchasers designated by such holders, from time to time of such restricted securities. The information provided by the Offerors pursuant to this Section 7.7 will not, at the date thereof, contain any untrue statement of a material fact or omit to state any material fact necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.
Solicitation and Advertising. Verbal solicitation of Lessee's business may be made only from behind the counter of Lessee's Office Space, and Lessee shall prohibit and restrain its agents, servants and employees from loud, noisy, boisterous, or otherwise objectionable solicitation. Lessee may identify and advertise its vehicle rental service at its Office Space in a manner comparable to the reasonable advertising of other automobile rental companies operating in the Terminal Building. All advertising materials of whatever nature, including but not limited to brochures, rate cards, schedules, forms, etc., shall not unduly clutter the counter at Lessee's Office Space, and the counter space shall be maintained in a clean and orderly manner. All materials displayed at Lessee's Office Space shall be subject to the approval of the Airport Director.

  • Publicity and Advertising Executive agrees that the Company may use his name, picture, or likeness for any advertising, publicity or other business purpose at any time, during the term of this Agreement and may continue to use materials generated during the term of this Agreement for a period of six (6) months thereafter. The use of Executive’s name, picture, or likeness shall not be deemed to result in any invasion of Executive’s privacy or in violation of any property right Executive may have; and Executive shall receive no additional consideration if his name, picture or likeness is so used.   • SIGNS AND ADVERTISING Tenant may, at its own expense, install and operate necessary and appropriate identification signs on the Premises, subject to the approval of Director and the requirements of the TI Guide, including but not limited to, the approval of the number, size, height, location, color and general type and design. Such approval shall be subject to revocation by Director at any time. Without express written consent of Director, Tenant shall not display any advertising, promotional, or informational pamphlets, circulars, brochures or similar materials.

  • SIGNS AND ADVERTISEMENTS No sign, advertisement, or notice referring to Tenant shall be inscribed, painted, affixed, or otherwise displayed on any part of the exterior or the interior of the Building, except those installed by Landlord on the directories and the entrance door to the Premises and such other areas, if any, as Landlord may determine. As long as Tenant leases all of the Rentable Area in the Building and occupies for normal business purposes at least fifty percent (50%) of the Rentable Area in the Building (with such other Rentable Area being occupied for normal business purposes by Tenant's permitted assignees or sublessees), then Tenant shall have the exclusive right, at its sole cost and expense, to (i) install a sign on the top level exterior of the Building and (ii) install a monument sign at the main drive or parking entrance to the Building bearing Tenant's then current corporate logo as it uses in its business (collectively, the "SIGNS"). The Signs shall conform to all applicable zoning and governmental ordinances and the Fair Lakes signage standards and shall be subject to the reasonable approval of Landlord and the Fair Lakes League as to location, size and design. Tenant shall be obligated, at its sole cost and expense, to install, maintain, repair and remove the Signs. If Tenant exhibits or installs any sign, advertisement or notice except the Signs, Landlord shall have the right to remove the same at Tenant's expense. Landlord shall have the right to prohibit any advertisement of or by Tenant which in its opinion tends to impair the reputation of the Building or its desirability as a high-quality office building and, upon written notice from Landlord, Tenant shall immediately refrain from and discontinue any such advertisement. Except as otherwise set forth above, Landlord reserves the right to affix, install, and display signs, advertisements, and notices on any part of the exterior or interior of the Building.

  • Non-Solicitation of Clients During the Restricted Period, the Executive agrees not to solicit, directly or indirectly, on his own behalf or on behalf of any other person(s), any client of the Company to whom the Company had provided services at any time during the Executive’s employment with the Company in any line of business that the Company conducts as of the date of the Executive’s termination of employment or that the Company is actively soliciting, for the purpose of marketing or providing any service competitive with any service then offered by the Company.

Provided, however, the goods or services must be competitive in some respect to the Company’s business during such time.

Furthermore, the Servicer shall be permitted to include in its monthly statements to borrowers or otherwise, statements regarding the availability of the Servicer's counseling services with respect to refinancing mortgage loans.

The Distributor will not direct remuneration from commissions paid by the Issuer for portfolio securities transactions to a broker or dealer for promoting or selling fund shares.
