Nature of Amendment. This Amendment contains the entire agreement of the Parties with respect to the specific subject matter hereof and supersedes all prior written or oral correspondence between the Parties and their representatives (including emails) regarding the specific subject matter hereof.
Nature of Amendment. Except as expressly provided herein, the Agreement shall continue to be, and shall remain, in full force and effect. Except as expressly provided herein, this Amendment shall not be deemed to be a waiver of, or consent to, or a modification or amendment of, any other term or condition of the Agreement. Any reference to the Agreement in the Agreement or any other document (except as specifically indicated to the contrary) shall be deemed to be a reference to the Agreement as amended hereby.

Nature of Amendment. The Parties agree that the amendment to the EDP set forth in this Section 2.1 is not a unilateral amendment of the EDP by Sanofi pursuant to Section 3.2(a) of the Original Agreement, but rather is an amendment to the Agreement in accordance with Section 12.1 of the Original Agreement.

All future references to the Employee Stockholders Agreement or any document which references or incorporates the Employee Stockholders Agreement shall be deemed to refer to the Employee Stockholders Agreement as amended by this Amendment.

All future references to the Stockholders Agreement or any document which references or incorporates the Stockholders Agreement shall be deemed to refer to the Stockholders Agreement as amended by this Amendment.

Nature of Amendment. This Amendment constitutes an amendment in writing executed by the parties to the Agreement for purposes of Section 10(c) of the Agreement. The terms and provisions of Section 10 of the Agreement are incorporated herein mutatis mutandis.
