Services of the Consultant. The Consultant hereby agrees during the term of this engagement to consult with the board of directors (the "BOARD") of Holdings, the Board of Directors of the Company, and the management of the Company in such manner and on such business and financial matters as may be reasonably requested from time to time by the Board, including with respect to:
(i) business strategy;
(ii) budgeting of future corporate investments;
(iii) acquisition and divestiture strategies; and
Services of the Consultant. Consultant shall serve as a Director of the Company and devote his best efforts and attention in performing such services for the Company as are consistent with the duties and responsibilities of the title of Director. These include periodic meetings and teleconferences to discuss business of the Company. These activities of the Consultant are hereinafter called the "Services".
Services of the Consultant. A. CONSULTANT shall perform such services as are specified by this contract and as are specified by the scope of services set forth in Exhibit A to this contract, attached hereto and incorporated herein. In performing said services, CONSULTANT shall follow practices consistent with acceptable professional and technical standards for work of this nature.
B. CONSULTANT hereby agrees to furnish those services necessary to complete the scope of services specified in this contract. Unless otherwise indicated in the scope of services set forth in Exhibit A, said services shall be performed by CONSULTANT or by CONSULTANT’s associates, employees, or subconsultants under the personal supervision of the Project Manager, designated in Article I, Section C, or such other qualified person as shall be designated by CONSULTANT and approved in writing by COUNTY.
C. Xxxx Xxxxxx, AICP, PLA, ASLA, and Xxxx Xxxxxx, AICP, PLA, ASLA, SITES AP, LEED Green Assoc., will jointly and cooperatively perform or supervise the project on behalf of CONSULTANT as Project Manager. Should both be unable to complete said responsibility for any reason, COUNTY reserves the right to terminate this contract in the event both are not replaced by a person or persons whom COUNTY finds satisfactory.
D. CONSULTANT has, or will secure at its own expense, the qualified personnel required to perform the services specified by this contract, including the following:
1. CONSULTANT shall retain the services of a qualified financial firm, as selected by the CONSULTANT after approval by the COUNTY, to provide general quality control, analysis, and recommendations for relevant portions of the project.
2. CONSULTANT shall retain the services of a qualified transportation firm, as selected by the CONSULTANT after approval by the COUNTY, to provide general quality control, analysis, and recommendations for relevant portions of the project, with specific analyses, findings, and recommendations for the general plan’s transportation element.
E. Except as may be delineated in this contract and Exhibit A, or except as allowed by COUNTY’s Representative in writing, none of the services specified by this contract shall be subcontracted.
F. During the contract period, CONSULTANT shall attend meetings and public hearings and shall provide advice as may be required as described in Exhibit A.

Services of the Consultant. Consultant shall serve as a Consultant to ----------------------------- the Company, providing transition of technology development from Loch Harris, Inc. to CDEX. In adxxxxxx, Consultant shall assist CDEX in the marketing of CDEX products and providing other services as directed by the CEO of CDEX, as needed. Consultant shall devote his best efforts and attention in performing such services for the Company. These services shall include periodic meetings and teleconferences to discuss business of the Company. These activities of the Consultant are hereinafter called the "Services".
Services of the Consultant. The Consultant hereby agrees that during the term of this Agreement, it shall render to the Companies by and through its officers, employees, agents, representatives and affiliates as the Consultant, in its sole discretion, shall designate from time to time, advisory and consulting services in relation to the affairs of the Companies in connection with strategic financial planning, and other services not referred to in the next sentence including, without limitation, advisory and consulting services in relation to the selection, supervision and retention of independent auditors, the selection, retention and supervision of outside legal counsel, and the selection, retention and supervision of investment bankers or other financial advisors or consultants. It is expressly agreed that the services to be performed under this Paragraph 2 shall not include investment banking or other financial advisory services rendered by the Consultant to the Companies in connection with acquisitions and divestitures by any of the Companies, refinancings, initial public offerings, sales of stock by the Company, or a transaction that constitutes a Sale of the Company under that certain Stockholders Agreement, dated as of March 14, 1997, by and among Holdings, an affiliate of the Consultant, and certain other parties (the "Stockholders Agreement"); if any such services are rendered, the Consultant shall be entitled to receive additional compensation for such services.
Services of the Consultant. Consultant shall provide additional professional engineering services, as outlined in Exhibit “A” attached hereto and incorporated herein by this reference.
Services of the Consultant. During the term of the Agreement the Consultant shall use its best efforts to effect Investor Relations services for the German market and to further provide the Company with such regular customary financial consulting advice, management consulting and recruiting as is reasonably requested by the Company consistent with the foregoing:
Services of the Consultant. Consultant shall (1) assure an orderly transition of previous work that Consultant did as an employee, (2) where feasible encourage sale of Company products, (3) where feasible encourage advancement of Company's revenues and statue in the investment community, (4) upon reasonable notice, furnish such information and assistance to the Company as may be reasonably required by the Company in connection with any litigation in which it or any of its subsidiaries or affiliates is, or may become a party and (5) provide other nominal work as requested by Company. These activities of the Consultant are referred to hereinafter as "Services." The Company recognizes and agrees that the Consultant may perform additional services for other persons, provided that such services do not represent a conflict of interest with the Company.
Services of the Consultant. Consultant agrees that during the term of this agreement, unless this agreement is sooner terminated pursuant to its terms, consultant shall perform the Services agreed, including more specifically those services described below.
(a) The parties agree that the work performed by the Consultant will be governed by the general terms and conditions of this agreement, which will be controlling.
(b) Consultant agrees to introduce product marketing programs, retail accounts and other resources to the Company for the purpose of advancing the Company in its executive summary and business plan. Consultant also will attempt to recruit celebrities and do specific strategic launch events approved by Sweet Success.
Services of the Consultant. During the Term, the Consultant shall, on a non-exclusive basis, undertake for and on behalf of, and to the extent reasonably requested by Alltrista, to consult with and advise Alltrista with respect to:
(i) the transition of the operation of the business formerly owned by Triangle Plastics, Inc., such business having been purchased by Alltrista as of the date hereof;
(ii) the acquisition of businesses similar to the business formerly owned by Triangle Plastics, Inc., including advice regarding the selection of businesses, the price to be paid, the structure of the acquisition and post-acquisition operations; and
(iii) attend industry meetings, conferences and events as reasonably requested by Alltrista.
