Nature of Relationship – Independent Contractor. The Parties to this Agreement are independent, and no agency, partnership, joint venture, employee-employer, or franchisee-franchisor relationship is intended or created by this Agreement. Neither Party shall have any right or authority to assume or create any obligations of any kind or to make any representation or warranty on behalf of the other Party, whether express or implied, or the power to bind the other Party in any respect whatsoever. Partner’s personnel involved in its business shall at all times be employees or subcontractors/independent contractors of Partner (if permitted by controlling law) and not of FIT60. Partner shall be solely responsible for payment of all compensation for such personnel and all related taxes and benefits. It is Partner’s responsibility to avoid any confusion regarding whether Partner’s personnel are employees or subcontractors of Partner or FIT60. Partner agrees to accept exclusive liability for complying with all applicable local, state, and federal laws and any and all laws of the country of Partner’s residence, as applicable, including, without limitation, obligations such as payment of any and all applicable taxes. Partner hereby agrees to indemnify and defend FIT60 against any and all such taxes, payments, and obligations, including penalties and interest. NEITHER PARTNER NOR ANY OF ITS AGENTS OR EMPLOYEES SHALL PASS ON TO ANY THIRD PARTIES ANY EXPRESS OR IMPLIED WARRANTY ON BEHALF OF FIT60.

  • Nature of Relationship The Company acknowledges and agrees that in connection with the offering and the sale of the Notes or any other services the Underwriters may be deemed to be providing hereunder, notwithstanding any preexisting relationship, advisory or otherwise, between the parties or any oral representations or assurances previously or subsequently made by the Underwriters: (i) no fiduciary or agency relationship between the Company and any other person, on the one hand, and the Underwriters, on the other hand, exists; (ii) the Underwriters are not acting as advisors, experts or otherwise, to the Company, including, without limitation, with respect to the determination of the public offering price of the Notes, and such relationship between the Company, on the one hand, and the Underwriters, on the other hand, is entirely and solely a commercial relationship, based on arms-length negotiations; (iii) any duties and obligations that the Underwriters may have to the Company shall be limited to those duties and obligations specifically stated herein; and (iv) the Underwriters and their respective affiliates may have interests that differ from those of the Company. The Company hereby waives any claims that the Company may have against the Underwriters with respect to any breach of fiduciary duty in connection with this offering.

  • Independent Contractor Relationship SELLER is an independent contractor in all its operations and activities hereunder. The employees used by SELLER to perform Work under this Contract shall be SELLER's employees exclusively without any relation whatsoever to LOCKHEED XXXXXX.

The Department and Customer will not be bound by any acts or conduct of the Contractor or its employees, agents, representatives, or subcontractors.
