RELATIONSHIP OF THE PARTIES/INDEPENDENT CONTRACTOR. 27.1 Each Party is an independent contractor, and has and hereby retains the right to exercise full control of and supervision over its own performance of its obligations under this Agreement and retains full control over the employment, direction, compensation and discharge of its employees assisting in the performance of such obligations. Each Party and each Party's contractor(s) shall be solely responsible for all matters relating to payment of such employees, including the withholding or payment of all applicable federal, state and local income taxes, social security taxes and other payroll taxes with respect to its employees, as well as any taxes, contributions or other obligations imposed by applicable state unemployment or workers' compensation acts and all other regulations governing such matters. Each Party has sole authority and responsibility to hire, fire and otherwise control its employees.

No agent, employee, or servant of the CMHSP or any of its sub-contractors shall be deemed to be an employee, agent or servant of the state for any reason. The CMHSP will be solely and entirely responsible for its acts and the acts of its agents, employees, servants, and sub-contractors during the performance of a contract resulting from this contract.

Except as otherwise expressly provided in this Agreement, no Party undertakes to perform any obligation of the other Party, whether regulatory or contractual, or to assume any responsibility for the management of the other Party's business.
RELATIONSHIP OF THE PARTIES/INDEPENDENT CONTRACTOR. It is expressly understood and agreed that the relationship between the Parties is as follows: each Party is acting as an independent contractor and is not an agent, partner, or joint venture with the other Party for any purpose. The Parties have no authority to assume or create any obligation for or on behalf of the other Party, express or implied, with respect to this Agreement or otherwise.

RELATIONSHIP OF THE PARTIES/INDEPENDENT CONTRACTOR. This Agreement is not intended to create, and shall not be construed to create a relationship of principal and agent, master and servant, employer and employee, joint venture, partnership, nor any other relationship other than that of independent contracting parties. Neither party shall have authority to make or imply any commitments that are binding upon the other party. Independent Contractor represents and warrants to the Company that it holds itself out as available to provide various services to other customers and businesses other than the Company and does, in fact, provide services for customers and businesses other than the Company. Independent Contractor and its employees shall be independent of the Company and shall at all times be free to exercise their independent business judgment. Neither Independent Contractor, nor its employees, are required to work exclusively for the Company. The Company shall judge Independent Contractor’s work based solely on whether Independent Contractor delivers the results desired by the Company. The Company shall not provide a performance evaluation to Independent Contractor, and Independent Contractor shall be free to achieve the Company’s desired results in whatever way Independent Contractor deems appropriate. The Company shall not dictate how Independent Contractor performs its work under this Agreement.
RELATIONSHIP OF THE PARTIES/INDEPENDENT CONTRACTOR. A. Eventbrite desires to enter into this Agreement with Contractor for the performance of Services. Both Contractor and Eventbrite fully and freely intend to create an independent contractor relationship under this Agreement. Contractor is not an employee, agent, partner or joint venture of Eventbrite and shall not bind nor attempt to bind Eventbrite to any contract. Contractor does not have the right to employ or contract with any person on behalf of Eventbrite. From time to time upon request of Eventbrite, Contractor will provide evidence of self-employment, tax registration and certification of foreign status for US tax purposes as Eventbrite may request and such delivery shall be a condition precedent to the payment of fees hereunder.
