No Distributions in Kind. Distributions in kind shall not be permitted, except on dissolution and liquidation of the Partnership’s assets, and then only to a liquidating trust established for the purposes of liquidating the assets transferred to it and distributing the net cash proceeds of the liquidation in cash to the Partners in accordance with this Agreement. The assets of the trust shall be distributed to the General Partner and the Limited Partners, from time to time, in the reasonable discretion of the General Partner in the same proportions as the assets transferred to the trust by the Partnership would otherwise have been distributed to the General Partner and the Limited Partners under this Agreement.
No Distributions in Kind. Except as otherwise specifically set forth herein, the Members shall not have the right to demand or receive property other than cash in return of Capital Contributions or as to Distributions.
No Distributions in Kind. Subject to the Permitted Exceptions, each of Meteor and Polaris, may not, and each shall cause the Meteor Investors and the Polaris Investors, respectively, not to, distribute or otherwise Transfer any Share Equivalents to any of their respective shareholders, members or limited partners or shareholders, members or limited partners of any funds, investment vehicle with which Meteor or any of its Affiliates or Polaris or any of its Affiliates, respectively, manages, advises or controls investors, in each case, without the prior written consent of the other; provided, that, for the avoidance of doubt, the foregoing restrictions shall not apply to a Tag-Along Sale by Meteor or Polaris, or their respective Affiliates, in compliance with the provisions of Article III.
No Distributions in Kind. Any distributions made pursuant to this Agreement shall be made in cash.
No Distributions in Kind. The Company may not distribute to the Members any Company Assets in kind except as approved by a Member Vote.
No Distributions in Kind. Unless otherwise specifically unanimously agreed by the Members, non-cash assets of the Company shall be sold and none of such assets will be distributed in kind to the Members.
No Distributions in Kind. Unless otherwise specifically agreed by all of the Partners, non-cash assets of the Partnership will be sold and none of such assets will be distributed in kind to Partners.
No Distributions in Kind. Notwithstanding anything to the contrary in this Agreement, the Company shall not make any distribution of property other than cash from the Company as provided in this Agreement without the approval of the Management Committee.
No Distributions in Kind. Unless otherwise approved by the Committee in each specific instance or as provided in Section 8.02(d), no Member shall be entitled to demand and receive property other than cash in return for its capital contributions to the Company, the balance in its Capital Account or its Membership Interest.
No Distributions in Kind. A Member may require that all distributions be made in cash, and no Member shall be obligated to accept any distribution in kind from the Company.
