Member vote definition

Member vote means one vote for each one hundred dollars, or fraction thereof, of the withdrawal value of a member’s account with respect to a mutual corporation.
Member vote is defined to mean "the approval by those Class A Members who, in the aggregate, have a Class A Unit Sharing Ratio in excess of 50%, together with the approval of those Class B Members who, in the aggregate, have a Class B Unit Sharing Ratio in excess of 50%"; and
Member vote means a vote cast by a Member College Representative (or alternative) present at a CMC meeting. Each Member College of the CMC is eligible to cast one Member Vote on any matter requiring a decision by vote.

Member vote shall have the meaning set forth in Section 2.6(f).
Member vote has the meaning specified in Section 4.02(c). “notices” has the meaning specified in Section 8.01(a).
Member vote means, in the case of two Members, the affirmative vote of both Members, and in the case of one Member, the affirmative vote of that one Member. "Neutral Investment Bank" means an investment banking firm of international reputation which has not been engaged by a Member or its Affiliates (a) at any time regarding matters related to the Company; and (b) in the last two (2) years for any other matter, and which the Member and its Affiliates agree not to engage in the subsequent two (2) years. "Operative Agreements" means the Marketing Agreement, the Pre- Exercise Agreement, the Post-Exercise Agreement and the Cross License Agreements, the forms of each of which are attached hereto as Exhibit D, and incorporated herein by reference. "Other Products and/or Services" means (i) any products for Seed Treatment uses or applications, other than Active Ingredients, Formulations and Equipment including, without limitation, colorants, dyes, pigments and coatings; and (ii) any activities of the Company, other than those activities set forth in Sections 4.2 and 4.3 of the Pre-Exercise Agreement and the Post-Exercise Agreement, specifically designed for or directly applicable to Seed Treatment uses or applications. "Parent" means, as to a Member, any Person which is the direct or indirect Beneficial Owner of fifty percent (50%) or more of the Capital Stock, having Voting Power, of such Member.
Member vote means, with respect to a matter and regardless of whether action is taken at a meeting of the Members or by written consent pursuant to Section 8.4.5, the affirmative vote or consent of a majority of the outstanding Units entitled to vote on or consent to such matter. Preferred Members and Common Members shall be entitled to cast one vote for each Unit they own, and cast a proportional fractional vote for each fractional Unit they own.
Member vote refers to the right that a Member has to vote (the ----------- term "vote" is defined in Section 11.37) on matters that are presented to the Members for decision. Each Member shall have one "Member Vote" for each one percentage point of the Member's share in Net Profits and Net Losses as allocated pursuant to Section 6.2 and a fraction of a "Member Vote" for each fraction of a percentage point of such share; provided, however, that, in the event a Member (the "first Member") transfers any portion of the Member's Economic Interest to another Person, the first Member's Member Votes shall not be affected by such transfer unless and until the transferred portion of the Economic Interest is acquired or held by another Member (the "second Member"), at which time the Member Vote, if any, that is associated with the transferred portion shall become the Member Vote of the second Member and no longer that of the first Member. A Member may be denied participation in a particular vote pursuant to the application of the provisions of Section 11.22 or Section 11.23. The number of Member Votes which each Member is entitled to cast shall be reflected on Schedule A.

  • Disinterested Shareholder Approval means approval by a majority of the votes cast by all the Company’s shareholders at a duly constituted shareholders’ meeting, excluding votes attached to Common Shares beneficially owned by Insiders who are Service Providers or their Associates;

  • Stockholder Approval means such approval as may be required by the applicable rules and regulations of the Nasdaq Stock Market (or any successor entity) from the stockholders of the Company with respect to issuance of all of the Warrants and the Warrant Shares upon the exercise thereof.
