No Lawsuits or Claims. Each party to this Agreement promises never to file a lawsuit, administrative complaint, or charge of any kind with any court, governmental or administrative agency or arbitrator against any other party to this Agreement or their officers, directors, agents or employees, asserting any claims that are released in this Agreement. Each party represents and agrees that, prior to signing this Agreement, that said party has not filed or pursued any complaints, charges or lawsuits of any kind with any court, governmental or administrative agency or arbitrator against any other party to this Agreement or their officers, directors, agents or employees, asserting any claims that are released in this Agreement.
No Lawsuits or Claims there are no claims, proceedings, actions, lawsuits, administrative proceedings or governmental investigations in existence or, to Vendor’s knowledge, contemplated or threatened against or with respect to the Assets;
No Lawsuits or Claims there are no claims, proceedings, actions, lawsuits, administrative proceedings or governmental investigations in existence, contemplated or threatened against or with respect to Vendor in either its personal capacity or its capacity as agent and attorney for the transfer and conveyance of the Assets, or with respect to the Assets;
No Lawsuits or Claims to the best of the Vendor's knowledge, there are no claims, proceedings, actions or lawsuits in existence, contemplated or threatened against the Vendor with respect to the Assets that would have a material adverse effect on the aggregate value of the Assets except as disclosed in Schedule "D" hereto;
No Lawsuits or Claims it has not received written notice of any Claims in existence or pending against it with respect to the Assets nor, to its knowledge, is there any Claim contemplated or threatened against or with respect to the Assets or the interests of the Vendor therein which is reasonably likely to have a material adverse effect on the Assets;
No Lawsuits or Claims. Executive promises never to file a lawsuit, administrative complaint, or charge of any kind with any court, governmental or administrative agency or arbitrator against the Company or its officers, directors, agents or employees, asserting any claims that are released in this Agreement. Executive represents and agrees that, prior to signing this Agreement, he has not filed or pursued any complaints, charges or lawsuits of any kind with any court, governmental or administrative agency or arbitrator against the Company or its officers, directors, agents or employees, asserting any claims that are released in this Agreement.
No Lawsuits or Claims except as may be identified in Schedule "H" no suit, action, lawsuit, administrative proceeding or other proceeding is currently before any court or governmental agency against Vendor or, to the knowledge, information and belief of Vendor, has been threatened against Vendor or any Third Party, which might result in material impairment or material loss of the interest of Vendor in and to the Assets or which might otherwise adversely affect the Assets materially or any rights to, and rights to enter upon, use or occupy the surface of any lands which are or may be used to gain access to or otherwise use the Petroleum and Natural Gas Rights and the Tangibles, or either of them;
No Lawsuits or Claims. There are no material unsatisfied claims or causes of action in existence or threatened in writing by, on behalf of, or against Purchaser, or imposed by any Governmental Authority, whether or not insured and which may adversely affect Purchaser or the condition (financial or otherwise) of Purchaser to complete the Transaction;
No Lawsuits or Claims. Executive agrees that with respect to the claims he is waiving, he is waiving not only his right to recover money or other relief in any action that he might institute, but also that he is waiving his right to recover money or other relief in any action that might be brought on his behalf by any other person or entity including, but not limited to, the United States Equal Employment Opportunity Commission, the Department of Labor, or any other (U.S. or foreign) federal, state or local governmental agency or department. Executive further represents that he has not filed any charges, complaints or other accusatory pleadings against Xxxx-Xxxxx or any of its officers, directors, employees or representatives based upon or arising out of any aspect of his employment relationship with Xxxx-Xxxxx or termination therefrom which may have accrued as of the Effective Date of this Agreement. Executive agrees that if at any time after the Effective Date of this Agreement it is established that he violated the terms of this paragraph, Xxxx-Xxxxx shall have the right to seek appropriate relief, including, but not limited to, a permanent injunction restraining Executive from further violations. Executive further agrees that damages for any breach of this provision will be difficult to calculate and that should Employee breach this provision, Xxxx-Xxxxx shall be entitled to both stop payment of any funds owed under this Agreement and bring legal action against Employee in a court of competent jurisdiction for each such breach. Upon the entry of any judgment finding such a breach, Xxxx-Xxxxx shall also be entitled to recover Five Hundred Thousand Dollars ($500,000.00) as liquidated damages for each such breach.
