No liability for Offer Price and Offering Documents. Notwithstanding anything contained in this Agreement to the contrary, none of the Sole Sponsor, the Sole Global Coordinator, the Joint Bookrunners, the Joint Lead Managers, the Hong Kong Underwriters and the other Indemnified Parties (as defined in Clause 12.1 hereof) shall have any liability whatsoever to the Warrantors or any other person in respect of the following matters (it being acknowledged by the parties that the Warrantors are solely responsible in this regard):
3.8.1 any alleged insufficiency of the Offer Price or any dealing price of the Offer Shares; and
3.8.2 any of the matters referred to in Clauses 12.1.1 to 12.1.3, and, notwithstanding anything contained in Clause 12, each Indemnified Party shall be entitled pursuant to the indemnities contained in Clause 12 to recover any Loss (as defined in Clause 12.1) incurred or suffered or made as a result of or in connection with any of the foregoing matters.

Notwithstanding anything contained in this Agreement to the contrary, none of the Joint Sponsors, the Joint Global Coordinators, the Overall Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Co-Lead Manager, the Hong Kong Underwriters and the Capital Market Intermediaries and the other Indemnified Parties shall have any liability whatsoever to the Warrantors or any other person in respect of any loss or damage to any person arising from any transaction carried out by the Joint Sponsors, the Joint Global Coordinators, the Overall Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Co-Lead Manager, the Hong Kong Underwriters, the Capital Market Intermediaries or any other Indemnified Party, in connection with, the following matters (it being acknowledged by the parties that the Warrantors are solely responsible in this regard):
3.13.1 any alleged insufficiency of the Offer Price or any dealing price of the Offer Shares; and
3.13.2 any of the matters referred to in Clauses 12.1.1 to 12.1.3, and, notwithstanding anything contained in Clause 12, each Indemnified Party shall be entitled pursuant to the indemnities contained in Clause 12 to recover any Loss (as defined in Clause 12.1) incurred or suffered or made as a result of or in connection with any of the foregoing matters.
No liability for Offer Price and Offering Documents. THE RIGHTS OF EACH INDEMNIFIED PARTY WHO IS NOT A PARTY TO THIS AGREEMENT UNDER THIS CLAUSE 3.9 ARE SUBJECT TO CLAUSE 17.14. Notwithstanding anything contained in this Agreement to the contrary, none of the Sole Sponsor, the Sole Global Coordinator, the Sole Bookrunner, the Sole Lead Manager, the Hong Kong Underwriter and the other Indemnified Parties (as defined in Clause 12.1 hereof) shall have any liability whatsoever to the Warrantors or any other person in respect of the following matters (it being acknowledged by the parties that the Warrantors are solely responsible in this regard):
3.9.1 any alleged insufficiency of the Offer Price or any dealing price of the Offer Shares; and
3.9.2 any of the matters referred to in Clauses 12.1.1 to 12.1.3, and, notwithstanding anything contained in Clause 12, each Indemnified Party shall be entitled pursuant to the indemnities contained in Clause 12 to recover any Loss (as defined in Clause 12.1) incurred or suffered or made as a result of or in connection with any of the foregoing matters.

Notwithstanding anything contained in this Agreement to the contrary, none of the Sole Sponsor, the Sole Sponsor-OC, the Sole Overall Coordinator, the Sole Global Coordinator, the Sole Bookrunner, the Joint Lead Managers, the Hong Kong Underwriters, the Capital Market Intermediaries and the other Indemnified Parties shall have any liability whatsoever to the Company or any other person in respect of any loss or damage to any of them arising from the following matters (it being acknowledged by the parties that the Company is solely responsible in this regard):
3.11.1 any alleged insufficiency of the Offer Price or any dealing price of the Offer Shares; and
3.11.2 any of the matters referred to in Clauses 12.1.1 to 12.1.3, and, notwithstanding anything contained in Clause 12, each Indemnified Party shall be entitled pursuant to the indemnities contained in Clause 12 to recover any Loss incurred or suffered or made as a result of or in connection with or in relation to any of the foregoing matters.

Notwithstanding anything contained in this Agreement, none of the Joint Sponsors, the Overall Coordinators, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Hong Kong Underwriters, the CMIs and the other Indemnified Parties shall have any liability whatsoever to the Company or any other person in respect of any loss or damage to any person arising from any transaction carried out by the Joint Sponsors, the Overall Coordinators, the Joint Global Coordinators, the Joint Bookrunners, the Joint Lead Managers, the Hong Kong Underwriters, the CMIs or any other Indemnified Party, including, without limitation, the following matters (it being acknowledged by the parties that the Company and the Directors are solely responsible in this regard):
3.12.1 any alleged insufficiency of the Offer Price or any dealing price of the Offer Shares; and
3.12.2 any of the matters referred to in Clauses 12.1.1 to 12.1.4, and, notwithstanding anything contained in Clause 12, each Indemnified Party shall be entitled pursuant to the indemnities contained in Clause 12 to recover any Loss incurred or suffered or made as a result of or in connection with any of the foregoing matters.
