No Representations as to Offering Materials or Condition of the Property. Investor understands and acknowledges that neither Owner, RCP, nor any Owner/RCP Related Party makes any representation or warranty as to the accuracy or completeness of the Offering Materials or the condition of the Property in any manner. The Investor further understands and acknowledges that the information used in the preparation of the Offering Materials was furnished by Owner and has not been independently verified by RCP, and is not guaranteed as to completeness or accuracy. Investor agrees that neither Owner, RCP, nor any Owner/RCP Related Party shall have any liability for any reason to Investor or any of its representatives or Related Parties resulting from the use of Offering Materials by any person in connection with the lease or sale of, or other investments by Investor in the Property whether or not consummated for any reason. Neither Owner, RCP, nor any Owner/RCP Related Party is under any obligation to notify or provide any further information to Investor or Related Party if either Owner or RCP becomes aware of any inaccuracy, incompleteness, or change in the Offering Materials. The undersigned acknowledges that neither Owner, RCP, nor any Owner/RCP Related Party has made any representation or warranty as to the accuracy or completeness of the Offering Materials, or suitably of the information contained therein for any purpose whatever, and any representation or warranty in connection therewith is hereby expressly excluded. The Offering Materials provided to the undersigned are subject to, among other things, correction of errors and omissions, addition or deletion of terms, and withdrawal upon notice. The undersigned agrees that neither Owner, RCP, nor any Owner/RCP Related Party shall have any liability to Investor and/or Related Party resulting from the delivery to, or use by the undersigned of the Offering Materials or otherwise with respect thereto. Investor and Related Parties shall rely only their own due diligence and investigation of the Property, including but not limited to any financial, title, environmental, physical, tenant, or other matters.

No Representations as to Offering Materials or Condition of the Property. Subject to the remainder of this Agreement, Receiving Party understands and acknowledges that Disclosing Party makes no representation or warranty as to the accuracy or completeness of the Offering Materials or the condition or future condition of the Property in any manner, unless otherwise stated in a definitive agreement. Subject to the remainder of this Agreement, Receiving Party further understands and acknowledges that the information used in the preparation of the Offering Materials has not been independently verified by Disclosing Party and is not guaranteed as to its completeness or accuracy. Except in the event of Disclosing Party’s willful misconduct, fraud or gross negligence in respect to the Offering Materials, Receiving Party agrees that Disclosing Party shall not have any liability for any reason to Receiving Party nor any Related Parties resulting from the use of the Offering Materials by any person in connection with the sale of, or other investments by Receiving Party in the Property, whether or not consummated for any reason. It is agreed that, the undersigned is acting as a principal and either: A) had no dealings, negotiations, or consultations involving the Property with any broker other than Optimar International Realty or B) will be responsible for any fees or commissions due to a cooperating broker acting as the Buyer’s Agent.

The Potential Investor further understands and acknowledges that the information used in the preparation of the Offering Materials was furnished by Owner and has not been independently verified by HFF, and is not guaranteed as to completeness or accuracy. Potential Investor agrees that neither Owner, HFF, nor any Owner/HFF Related Party shall have any liability for any reason to the Potential Investor or any of its representatives or Related Parties resulting from the use of the Offering Materials by any person in connection with the sale of, or other investments by Potential Investor in the Property whether or not consummated for any reason. Neither Owner, HFF nor any Owner/HFF Related Party is under any obligation to notify or provide any further information to Potential Investor or any Related Party if either Owner or HFF becomes aware of any inaccuracy, incompleteness or change in the Offering Materials.   • No Representation or Warranty Seller and Financing Provider each recognizes and acknowledges that PG&E makes no representation or warranty, express or implied, that Seller has any right, title, or interest in the Assigned Agreement or as to the priority of the assignment for security purposes of the Assigned Agreement or the Assigned Agreement Accounts.   • No Representation of Coverage Adequacy By requiring insurance herein, the City does not represent that coverage and limits will be adequate to protect Consultant. The City reserves the right to review any and all of the insurance policies and/or endorsements cited in this Agreement, but has no obligation to do so.   • Representations, Warranties and Additional Covenants Contractor represents and warrants to Mercy Corps and covenants with Mercy Corps as follows. Contractor has full rights and authority to enter into and perform its obligations under this Agreement. Contractor’s performance will not violate any agreement or obligation between Contractor and any third party. Contractor has the requisite skills to perform the Services in accordance with this Agreement. Contractor possesses all governmental and other certifications and licenses necessary to perform the Services in accordance with this Agreement. Performance by Contractor of its obligations under this Agreement will not infringe on any patent, copyright, trademark, trade secret or other proprietary right of any third party. Contractor will comply with all applicable law, regulations and rules in the performance of its obligations under this Agreement. Contractor, including its owners or employees, does not own, directly or indirectly, any other company that was competing for award of this Agreement or any TO. Contractor did not seek or obtain confidential information related to the award of this Agreement or any TO from any Mercy Corps employee, agent or representative. Contractor did not collude or conspire with any other individual or entity to limit competition for the award of this Agreement or any TO, to set prices being offered or in any other way to interfere with free and open competition. Contractor is not owned in whole or in part, directly or indirectly, by any immediate or extended family member of any Mercy Corps employee, agent or representative, or, if so owned, Contractor fully disclosed such relationship and any potential conflict of interest has been waived, in writing, by Mercy Corps. Contractor has not engaged in, and will not engage in, any of the following conduct: (A) trafficking in persons (as defined in the Protocol to Prevent, Suppress, and Punish Trafficking in Persons, especially Women and Children, supplementing the UN Convention against Transnational Organized Crime); (B) procuring a commercial sex act; or (C) using forced labor. Contractor is not the subject or any governmental or donor investigation and has not been debarred or suspended by any government, governmental agency or donor. Independent Contractor. The parties intend to be independent contractors. Contractor will be solely responsible for and have control over the means, methods, techniques, personnel and procedures for performing the Services. Neither party will be deemed an agent or partner of the other party.
