No Solicitation of Clients. Executive acknowledges and agrees that as a part of performing Executive’s duties, Executive will have access to Confidential Information and Company Trade Secrets as defined in Section 4. Consequently, during employment with Company and for a period of one (1) year after termination of such employment, whether such termination was with or without cause, voluntary or involuntary, Executive will not, directly or indirectly, as a principal, company, partner, agent, consultant, independent contractor or employee, (1) call upon, cause to be called upon, solicit or assist in the solicitation of, any current client, former client or potential client of Company for the purpose of selling, renting or supplying any product or service competitive with the products or services of Company; (2) provide any product or services to any current client, former client or potential client of Company which is competitive with the products or services of Company; or (3) enter into any business arrangement with any other person or firm who is or has been an executive, employee or subcontractor of Company within the one (1) year period immediately preceding Executive's termination. For purposes of this paragraph, “potential client” means any client to whom CIBER has made one or more documented sales or documented sales calls during the six (6) month period prior to the date of termination of Executive’s employment or any client about whom Executive received Confidential Information during the twelve (12) month period to the date of termination of the Executive’s employment. Executive specifically acknowledges and agrees that Executive will not become employed by any current or prospective Client of Company for which Executive has or had responsibility while employed by Company for a period of one (1) year after the date that Executive ceases employment with Company.

No Solicitation of Clients. Officer shall not, during the term of his employment and for eighteen (18) months following the termination of his employment (unless Corporation grants him written authorization): (a) call upon, cause to be called upon, solicit or assist in the solicitation of, any client or potential client of Corporation for the purpose of selling, renting or supplying any product or service competitive with the products or services of Corporation; (b) provide any product or services to any client or potential client of Corporation which is competitive with the products or services of Corporation; or (c) request, recommend or advise any client or potential client to cease or curtail doing business with the Corporation. Any individual, governmental authority, corporation, partnership or other entity to whom Corporation has provided services or products at any time prior to or during Officer's employment or to whom Corporation has made one or more sales or sales calls during the eighteen (18) month period preceding the date of termination of Officer's employment shall be deemed a client or potential client.
No Solicitation of Clients. During the Restricted Period, the Executive shall not, directly or indirectly, in any manner Solicit, on the Executive’s own behalf or on behalf of any other person, corporation, partnership, firm, institution or other business entity, a Client (as defined below) (i) for the purpose of providing products or services that are competitive with those provided by the Company or any of its affiliates, (ii) to transact business of the type engaged in by the Company or its affiliates, to reduce the amount of business that any Client has customarily done or contemplates doing with the Company or its affiliates or to cease or refrain from doing any business with the Company or its affiliates or (iii) to interfere with or damage (or attempt to interfere with or damage) any relationship between the Company or its affiliates and a Client.

In respect of this, Employee agrees not to directly or indirectly solicit, entice, or attempt to solicit or entice any clients, customers, or suppliers of Company or any subsidiary of Company to divert their business or services from the Company or any subsidiary of Company during the Restricted Period.
No Solicitation of Clients. For a period of two (2) years from the Effective Date of this Agreement, you shall not, directly or indirectly, for your own account or as proprietor, stockholder, member, partner, director, officer, employee, agent or otherwise for or on behalf of any person, business, firm, corporation, partnership or other entity, sell, offer to sell, or contact or solicit any business from any person, corporation or other entity which is a customer of the Company or its affiliates for the purpose of assisting, facilitating or encouraging, in any way, any such customer to transfer any business from Company and/or its affiliates, whether by termination, non-renewal or otherwise. For purposes of this Agreement, "customers" of the Company and its affiliates mean and include (i) any and all persons, businesses, corporations, partnerships, or other entities which have done business with the Company or its affiliates as a customer or have preexisting business relationships and/or dealings with you when your employment with the Company terminated and (ii) all persons, businesses, corporations, partnerships or other entities which control any such customer.
No Solicitation of Clients. While employed by the Company, the Executive will not, directly or indirectly, solicit business of any kind from any of the Company’s past or present clients or potential or possible future clients for the benefit of any person or entity other than the Company. For 18 months following the termination of his employment (unless the Company grants him written authorization), the Executive will not: (a) call upon, cause to be called upon, solicit, or assist in the solicitation of, any Target Client of the Company for the purpose of selling, renting, or supplying any product or service competitive with the products or services of the Company; (b) provide any product or services to any Target Client of the Company that is competitive with the products or services of the Company; or (c) request, recommend, or advise any Target Client to cease or curtail doing business with the Company. For purposes of this Section 6.2, “Target Client” shall refer to (i) those individuals, governmental authorities, corporations, partnerships, or other entities (“Entities”) comprising the largest clients and former clients to which the Company has provided services comprising 80% of the Company’s revenues in the rolling twelve-month period prior to Executive’s termination of employment, (ii) those Entities for which the Executive has made a sales call or worked on a proposal in the rolling twelve-month period prior to Executive’s termination of employment, and (iii) those Entities for which the Executive has actual knowledge are prospective clients that would meet the criteria in (i). Promptly following the end of each calendar quarter, the Executive shall create a list of the Entities comprising the list set forth in (i) and shall deliver such list to the Board. Following the Executive’s termination of employment, the Target Clients shall be those entities on the most recently prepared list and the entities listed in (ii) and (iii).
No Solicitation of Clients. During the Term, the Equity Holder shall not (a) except as may be permitted pursuant to Section 2 above, call upon, cause to be called upon, solicit or assist in the solicitation of, any current client, former client or potential client of Pure Cycle for the purpose of selling, leasing or supplying any product or service that constitutes a Competing Business; (b) except as may be permitted pursuant to Section 2 above, provide any products or services to any current client, former client or potential client of Pure Cycle that constitute a Competing Business; or (c) request, recommend, or advise any client or potential client to cease or curtail doing business with Pure Cycle. Any Person shall be deemed to be a client or potential client of Pure Cycle to whom (i) Pure Cycle has provided any products or services at any time prior to or during the Term which products or services would constitute a Competing Business if provided by the Equity Holder, or (ii) Pure Cycle has made one or more sales calls concerning products or services that, if provided by the Equity Holder, would constitute a Competing Business, provided that (x) such sales calls were made during the twenty-four (24) month period preceding the date of this Agreement and the name of such Person and the nature of such sales call is set forth on attached Schedule 2, and (y) if such sales calls are made during the Term, Pure Cycle has notified the Equity Holder in writing of the Person called upon and the nature of such call.
