No Unpaid Charges. Except as set forth on Schedule 4.10, there are no unpaid charges, debts, liabilities, claims, or obligations arising from the construction, occupancy, ownership, use, or operation of the Real Property and no charges or assessments for public improvements or otherwise made against the Real Property are unpaid, including without limitation those for construction of sewer lines, water lines, storm drainage systems, electric lines, natural gas lines, streets (including perimeter streets), roads and curbs. No Real Property is subject to any condition or obligation to any governmental entity or other person requiring the owner or any transferee thereof to donate land, money or other property or to make off-site public improvements.

Subject to Section 7.7 hereof and other than Total Project Costs, there are no unpaid charges, debts, liabilities, claims or obligations arising from the construction, occupancy, ownership, use or operation of the Property which could give rise to any mechanic's or materialmen's or other statutory lien against the Property, or any part thereof; however, Xxxxxxxx shall be responsible for obtaining lien waivers in accordance with Section 7.7 hereof with respect to all sums paid or accrued as Total Project Costs pursuant to Section 2.2 hereof.
