No Waiver and Amendment. No failure on the part of the Banks or the holder of the Notes to exercise and no delay in exercising any power or right hereunder or under any other Loan Document shall operate as a waiver thereof; nor shall any single or partial exercise of any power or right preclude any other or further exercise thereof or the exercise of any other power or right. The remedies herein and in any other instrument, document or agreement delivered or to be delivered to the Banks hereunder or in connection herewith are cumulative and not exclusive of any remedies provided by law. No notice to or demand on the Borrower not required hereunder or under the Notes shall in any event entitle the Borrower to any other or further notice or demand in similar or other circumstances or constitute a waiver of the right of the Banks or the holder of the Notes to any other or further action in any circumstances without notice or demand.
No Waiver and Amendment. HGC will not be considered to have waived any of its rights or remedies described in the Terms unless such waiver is in writing and signed by an authorized representative of HGC. No delay or omission by HGC in exercising HGC rights or remedies will impair or be construed as a waiver. Any single or partial exercise of a right or remedy by HGC will not preclude further exercise of any other right or remedy. HGC failure to enforce the strict performance of any provision of the terms and conditions in the Terms will not constitute a waiver of HGC right to subsequently enforce such terms and conditions.

Climb will not be considered to have waived any of its rights or remedies described in the Terms of Service unless such waiver is in writing and signed by an authorized representative of Climb. No delay or omission by Climb in exercising Climb rights or remedies will impair or be construed as a waiver. Any single or partial exercise of a right or remedy by Climb will not preclude further exercise of any other right or remedy. Climb failure to enforce the strict performance of any provision of the terms and conditions in the Terms of Service will not constitute a waiver of Climb right to subsequently enforce such terms and conditions.
No Waiver and Amendment. Any provision of this Agreement may only be waived or amended by a written waiver and amendment signed by the client and mlg's authorized officers. No waiver or amendment of this Agreement shall be inferred from any transaction between the parties or from the failure of mlg or its agent to claim its rights under this Agreement on any occasion or series of occasions. No oral agreement or instruction to the contrary shall be deemed enforceable. This document and its attachments constitute the entire agreement between the parties and supersede any and all prior written and oral agreements. There are no other terms, conditions or obligations except those in this agreement.

No delay or omission by Us in exercising Our rights or remedies will impair or be construed as a waiver. Any single or partial exercise of a right or remedy by Us will not preclude further exercise of any other right or remedy. Our failure to enforce the strict performance of any provision of the Agreement will not constitute a waiver of Our right to subsequently enforce such provisions. We may amend this Agreement at any time without prior notice in our sole discretion.
No Waiver and Amendment. Except as is otherwise provided herein, the failure of either party to enforce at any time, the provisions of this Agreement will not be construed as a waiver of such provisions or of the right of such party thereafter to enforce each and every such provision. No claim or right arising out of the breach of this Agreement can be discharged in whole or in part by a waiver or renunciation of the claim or right unless the waiver or renunciation is in writing and signed by the aggrieved party. The parties may expand or amend the terms of this Agreement by written agreement.
