Non-Application of Changes in Applicable Rules. Any change in, or addition to, the Applicable Rules, including, without limitation, any change in any applicable general or specific plan, zoning ordinance or building regulation adopted or becoming effective after the Effective Date, including, without limitation, any such change by means or ordinance, City Charter amendment, initiative, referendum, resolution, motion, policy, order or moratorium, initiated or instituted for any reason whatsoever and adopted by the City Council, Planning Commission or City Agency, or by the electorate, as the case may be, which would, absent this Agreement, otherwise be applicable to the Project and which would conflict with the Applicable Rules, Existing Approvals or this Agreement, shall not be applied to the Project unless such changes represent an exercise of the City’s Reserved Powers or are otherwise expressly allowed by this Agreement or consented to in writing by Developer. In the event of any conflict or inconsistency between this Agreement and the Applicable Rules, the provisions of this Agreement shall control.

Non-Application of Changes in Applicable Rules. The adoption of any Subsequent Land Use Regulations after the Effective Date of this Agreement (other than changes in Processing Fees and taxes), including any regulation relating to the timing, sequencing, or phasing of the Project or construction of all or any part of the Project, and including any changes in Developer Fees (which expression “changes in Developer Fees” includes under this Agreement new or additional Developer Fees) shall not be applied to the Project during the Term of this Agreement unless such Subsequent Land Use Regulations represent an exercise of City’s Reserved Powers.
Non-Application of Changes in Applicable Rules. The adoption of any Subsequent Land Use Regulations after the Effective Date of this Agreement, or any change in, or addition to, the Applicable Rules (other than changes in Processing Fees and taxes), including, without limitation, any changes in the General Plan or the Zoning Regulations (including any regulation relating to the timing, sequencing, or phasing of the Property or construction of all or any part of the Project located on the Property), and any changes in Developer Fees (which expression “changes in Developer Fees” includes under this Agreement new or additional Development Fees), adopted after the Effective Date of this Agreement, including, without limitation, any such change by means of ordinance, initiative, resolution, motion, policy, order or moratorium, initiated or instituted for any reason whatsoever and adopted by any board, agency, commission or department of the City, or by the electorate, as the case may be, which would, absent this Agreement, otherwise be applicable to the Property shall not be applied to that portion of the Project located on the Property during the term of this Agreement unless such changes represent an exercise of the City’s Reserved Powers. Notwithstanding the foregoing, if within three (3) years after the Effective Date, the Developer has not caused the Commencement of Construction to occur, the Property shall be subject to all changes in Developer Fees adopted by the City between the Effective Date and the occurrence of the Commencement of Construction of the portion of the Project on the Property.
