Non-Solicitation; No-Hire Covenant. (a) For a period of two (2) years from and after the Effective Time, SpinCo shall not, and shall ensure that the other members of the SpinCo Group shall not, directly or indirectly, solicit any current or former employees of the Ventas Group without the prior written consent of Ventas; provided, however, that (i) an individual shall not be deemed to have been solicited for employment in violation of this Section 5.6(a) if such employee ceased to be employed by any member of the Ventas Group at least six (6) months prior to the date when any solicitation activity occurs and (ii) this Section 5.6(a) shall not prohibit any general offers of employment to the public (including through a bona fide search firm that is instructed not to contact any employees of the Ventas Group), so long as it is not specifically targeted toward employees of the Ventas Group.

Non-Solicitation; No-Hire Covenant. (a) For a period of twelve (12) months following the Distribution Date, CIT shall not, and shall cause the other members of the CIT Group not to, solicit for employment (whether as an employee, consultant or otherwise) any person who was an employee of any member of the C2 Group immediately prior to the Distribution Date; provided that CIT and the members of the CIT Group shall not be precluded from soliciting or hiring, or taking any other action with respect to, any such Person who (i) has been terminated by C2 or a member of the C2 Group, or has resigned prior to commencement of employment discussions between CIT or any of the members of the CIT Group and such Person, (ii) responds to a general or public solicitation not targeted at employees of the C2 Group (including by a bona fide search firm), (iii) has been given notice of termination by or has provided notice of resignation to C2 or the applicable member of the C2 Group prior to commencement of employment discussions between any member of the CIT Group and such Person (provided that such Person does not commence employment with a member of the CIT Group until the expiration of such notice period), or (iv) initiates discussions regarding such employment without any solicitation by any of CIT or any member of the CIT Group in violation of this Agreement; and provided, further, that CIT and the members of the CIT Group shall not be restricted from engaging in general or public solicitations or advertising not targeted at any such Persons described above.

  • Non-Solicitation; No-Hire You agree to comply with the provisions of this Section 1(a) during the period of your employment with PNC and the 12-month period following your Termination Date, regardless of the reason for such termination of employment, as follows:

If any court of competent jurisdiction finds any part of this paragraph unenforceable as to its duration, scope or geographic area, it shall be deemed amended to conform to the scope that would permit it to be enforced.

  • Non Competition Non Solicitation and Confidentiality The Company and Executive acknowledge and agree that while Executive is employed pursuant to this Agreement, the Company will give Executive access to Confidential Information of the Company and its Affiliates to which Executive did not have access prior to signing this Agreement and which Executive may need and use during such employment, the receipt of which is hereby acknowledged by Executive; Executive will be provided under this Agreement (i) specialized training on how to perform his duties and (ii) contact with the Company’s and its Affiliates’ customers and potential customers. In consideration of all of the foregoing, the Company and Executive agree as follows:

  • Non-Solicitation Covenant Employee hereby covenants and agrees that while employed by the Company and for a period of two (2) years following the termination of the Employee’s employment with the Company for any reason, Employee shall not: (i) directly or indirectly, endeavor to entice away from the Company or its Affiliates any person, firm, corporation, limited liability company or other entity that was a customer of the Company at any time while Employee was an employee of the Company or its Affiliates or who is a “prospective vendor or customer” of the Company; or (ii) induce, attempt to induce or hire any employee (or any person who was an employee during the year preceding the date of any solicitation) of the Company or its Affiliates to leave the employ of the Company or its Affiliates or to otherwise perform services directly or indirectly for others, or in any way interfere with the relationship between any such employee and the Company or its Affiliates. For purposes hereof, “prospective vendor or customer” shall mean any person or entity which has been solicited for business by Employee or any officer or other employee of the Company or its Affiliates at any time during Employee’s employment.

  • Non-Solicitation; Non-Competition (a) Executive agrees that, during the Term and until nine (9) months after the termination of his employment, Executive will not, directly or indirectly, including on behalf of any person, firm or other entity, employ or actively solicit for employment any employee of the Company or any of its Affiliated Entities, or anyone who was an employee of the Company or any of its Affiliated Entities within the nine (9) months prior to the termination of Executive’s employment, or induce any such employee to terminate his or his employment with the Company or any of its Affiliated Entities.

  • Non-Solicitation; Non-Disparagement Executive shall not for a period of one (1) year following Executive’s termination of employment for any reason, either on Executive’s own account or jointly with or as a manager, agent, officer, employee, consultant, partner, joint venturer, owner or shareholder or otherwise on behalf of any other person, firm or corporation, directly or indirectly solicit or attempt to solicit away from the Company any of its officers or employees or offer employment to any person who is an officer or employee of the Company; provided, however, that a general advertisement to which an employee of the Company responds shall in no event be deemed to result in a breach of this Section 11(b). Executive also agrees not to harass or disparage the Company or its employees, clients, directors or agents.

  • Non-Competition; Non-Solicitation; Non-Disparagement Arrow and its Affiliates are engaged in the businesses of banking, lending, trust operations and providing financial, property, casualty and health insurance and investment adviser services and products (collectively, the “Business”). As a senior executive, Executive provides services that are unique, special and/or extraordinary to the Business in which Arrow and its Affiliates engage, and have access to and will learn of trade secrets of Arrow and its Affiliates and confidential information pertaining to their customers. The provisions of Paragraphs 9 and 10 are agreed by the parties to be reasonable and necessary to protect the goodwill of Arrow’s and its Affiliates’ Business, the good will of special/long-term customer relationships, Arrow’s and its Affiliates’ confidential information and trade secrets (including but not limited to information concerning their customers, marketing studies, marketing strategies, acquisition plans, costs, personnel and financial performance) and confidential customer information and to protect against unfair competition by an employee whose services are special, unique and/or extraordinary to the Business of Arrow and its Affiliates and their long-term success. Accordingly, the Executive agrees as follows:
